20.500.12556/DKUM-69237 Ekonomski in pravni vidiki factoringa s sodno prakso sodišč Republike Slovenije Economics and legal aspects of factoring with jurisprudence of courts of Republic Slovenia Factoring predstavlja aktualni gospodarski instrument oziroma finančno pravni posel sodobnega časa, ki omogoča zunanje financiranje gospodarskih subjektov. Izboljšuje likvidnost subjekta in vpliva na optimizacijo poslovanja. V pravnem kontekstu factoring predstavlja kompleksno obliko pogodbe, sestavljeno iz več različnih pravnih institutov. Slednji kot normativno urejeni ali normativno ne urejeni, med seboj ne ustvarjajo nove homogene celote, temveč ohranjajo svoje temeljne lastnosti, ki kot posamezna pravila urejajo pogodbo o factoringu in razmerja med strankami. Ta pravila imajo le instrumentalni značaj za doseganje temeljnega cilja pogodbe, pa se pod njih ne more subsumirati samostojne pogodbe o factoringu. Za slednjo je precej pomemben namen in interes strank, ki pogodbo oblikujeta in jo konkretizirata v pravnem prometu. Bistvo factoringa predstavljajo funkcije financiranja in funkcije del credere jamstva, od katerih je odvisna sama pojavna oblika factoring posla in obveznosti strank, ki izvirajo iz tega. Nepreciznost in nepopolnost regulacije factoringa v pravnem redu R. Slovenije, še vedno predstavljata omejevalni faktor za nadaljnjo rast in razvoj tega instituta, čeprav je ta mogoč in dopusten. Ali bo regulacija sledila ustvarjanjem novih določb v že obstoječe zakone in definiranjem factoringa kot nominatne pogodbe ali ustvarjanjem novega, posebnega zakona kot lex specialis, ki bi celovito uredil pravni posel in odklonil vse dvome, je vprašanje nadaljnjih potreb prakse in odločitve zakonodajalca. Prizadevanje mednarodnih organizacij za ponujene rešitve in določanje okvirjev factoringa skozi konvencije UNIDROIT IN UNCITRAL ter splošne pogoje poslovanja FCI predstavljajo pomemben rezultat na področju unifikacije pravil mednarodnega factoringa in mednarodnega gospodarskega prava kot celote. Normativna nedoločljivost factoringa ne vpliva na dejstvo, da je slednji v praksi zelo uveljavljen in standardiziran kot samostojni pravni posel. Factoring represents a current economic instrument or a modern financial transaction, which enables external financing of business entities. It improves the liquidity of the entity and impacts optimal business operations. In a legal context, factoring represents a complex form of a contract, constructed from different legal institutes. The latter, whether regulated or unregulated, do not create new homogeneous entirety between themselves but maintain their own fundamental properties, which as individual rules govern agreement about factoring and relationships between parties. This rules only have instrumental characteristics for the achievement of the basic agreement objective and under their framework, it is not possible to apply the law to the independent agreement on factoring. For the latter, the intention and incentive of parties, forming the agreement and enacting it in legal transactions, are quite relevant. Financing functions and functions of a del credere guarantee on which particular configuration of factoring business and parties’ obligations originating from it depend are the core of factoring. Lack of precision and accuracy for factoring regulations in the legal order of the Republic of Slovenia still represent a restrictive factor for further growth and development of this institute, even though it is possible and admissible. Will the regulation implement creations of new provisions into already existing laws and define factoring as a nominate contract or create a new, special law as lex specialis, which would uniformly regulate transaction and eliminate any doubts is an issue of future needs in practice and legislator's decision. Ongoing efforts by international organisations regarding the provided solutions and determining factoring frameworks with the help of UNIDROIT and UNCITRAL conventions and FCI General Rules for International Factoring represent substantial result for the unification of international factoring rules and international commercial law as a whole. Intangible regulation of factoring does not have an influence on the fact that the latter is well-established in practice and typified as an independent transaction.
