Abstract:	V življenju se zgodi kar nekaj prelomnic. Odločitev o ustanovitvi lastnega podjetja je prav gotovo ena izmed največjih in najpogumnejših. V diplomskem delu skušam rešiti večno dilemo bodočih podjetnikov: s.p. ali d.o.o.. Ker smo v času gospodarske krize, je zelo verjetno, da se bo večina odločila najprej za s.p., saj je ustanovitev tega poslovnega subjekta enostavna, hitra, predvsem pa poceni. V prvem delu sem predstavila razlike med s.p. in d.o.o. ter njune prednosti in slabosti. Z razvojem in rastjo podjetja pa se pojavi vprašanje, ali je obstoječa statusna oblika še primerna. Če podjetnik ugotovi, da je njegovo poslovanje »preraslo« obliko samostojnega podjetnika, se odloči za preoblikovanje podjetnika v drugo, primernejšo obliko podjetja. V diplomskem delu sem se osredotočila na preoblikovanje samostojnega podjetnika v družbo z omejeno odgovornostjo. Predstavila sem vzroke in načine preoblikovanja. Večji del diplomske naloge sem posvetila organizacijskim vidikom preoblikovanja ter pomenu za njegov management. V zadnjem delu diplomske naloge sem na praktičnem primeru poskusila določiti najprimernejši trenutek za preoblikovanje.

Title:	ORGANIZATIONAL ASPECTS OF THE TRANSITION FROM THE SOLE PROPRIETORSHIP INTO A LIMITED LIABILITY COMPANY
Abstract:	Establishing our own enterprise is one of the most challenging and brave decisions to undertake in our life. In this work the everlasting dilemma of all the entrepreneurs: either to establish the sole entrepreneurship or a limited liability organization is elaborated. In the first part of the work the main differences between the two business subjects are presented together with the pros and contras of either one or another. With the development and growth of the company, the entrepreneur faces the question whether the existing organization is the best for him and his goals. When the entrepreneur realizes that the existing organization of his company is not appropriate he needs to decide about the ways of transforming his entrepreneurship into a different – more appropriate organization. In the present work, the main focus is the transition from the sole entrepreneur into the limited liability company. The reasons for the transition and different ways of performing it are presented and elaborated. The main emphasis is on the organizational changes and their influence on the company's management. The last part of the diploma thesis will focus on a practical example about choosing the most appropriate moment to implement the business transition.
