Title:HIPOTEKARNA OBVEZNICA - PRAVNA UREDITEV V SLOVENIJI IN NEMČIJI

Abstract:V prvem poglavju govorimo o predmetu raziskovanja. Najprej definiramo pojem hipotekarne obveznice in osvetlimo zgodovinski razvoj ter nastanek tega vrednostnega papirja. Ozrli se bomo na pravna razmerja, ki nastanejo z njeno izdajo. Hipotekarna obveznica velja za varno naložbo zato smo predstavili tudi njene elemente varnosti. Na koncu poglavja smo omenili še vrste hipotekarnih obveznic glede na različne kriterije in načine njene izdaje. V drugem poglavju predstavljamo slovensko ureditev hipotekarne obveznice. Najprej predstavimo zakonsko podlago in povezavo z drugimi predpisi. Nato se podrobneje posvetimo obravnavi Zakona o hipotekarni in komunalni obveznici. Poglavje nadaljujemo z opredelitvijo in imenovanjem subjektov v slovenskem modelu hipotekarne obveznice. Poglavje zaključimo s subjektivnim mnenjem glede ustreznosti uzakonjenega modela za slovenski čas in prostor. V tretjem poglavju podrobneje opisujemo postopek izdaje hipotekarne obveznice. Raziščemo kakšen status ima hipotekarna obveznica v praksi slovenskih bank. Nato preučimo možen vpliv hipotekarne obveznice na stanovanjsko področje. V nadaljevanju analiziramo morebitno vlogo SID banke s svojim specifičnim statusom v slovenskem bančnem prostoru na tem področju. Glede na ugotovitve, da v Sloveniji hipotekarne obveznice ni izdal še nihče, v naslednjem podpoglavju govorimo o ovirah za izdajo hipotekarne obveznice. Poglavje zaključimo s slovensko statistiko povezano s področjem hipotekarnega bančništva. V četrtem poglavju podrobneje predstavljamo ureditev hipotekarne obveznice v Nemčiji. Najprej se posvečamo zakonski podlagi in njenim temeljnim značilnostim, nato na kratko opišemo zgodovino in razvoj predpisov ter aktualno zakonodajo. Nato opišemo in poimenujemo subjekte v nemški ureditvi. Komentiramo še razširjenost hipotekarne obveznice v Nemčiji. Nazadnje prikažemo še nekaj statističnih podatkov v zvezi s hipotekarnimi obveznicami v Nemčiji. V zadnjem poglavju primerjamo poglavitne značilnosti nemškega in slovenskega modela hipotekarne obveznice.

Title:MORTGAGE COVERED BOND - LEGAL FRAMEWORK IN SLOVENIA AND GERMANY
Abstract:In first chapter we talk about subject of the thesis. First of all we define mortgage covered bond, illuminate it's historical development and birth of this bond. We look upon legal relations which arise from issuing a mortgage covered bond. The mortgage covered bond has a reputation of a very secure investment so we talk about it's safety elements. At the end of this chapter we also mention different types of mortgage covered bond and different ways to issue this bond. Second chapter starts with Slovenian covered bond legislation. First we introduce legal base of mortgage covered bond and it's connection with other regulations. Then we thoroughly analyse Slovenian act on mortgage covered bond. We continue this chapter with naming and defining subjects which are mentioned in Slovenian legislation. Chapter ends with personal opinion about how adequate is Slovenian legislation. In third chapter we describe the process of issuing mortgage covered bonds. We analyse what kind of status have mortgage bonds in banking practice. Then we analyse how can mortgage bond influence market of real estate and market of residential property. The potential role of special bank in Slovenia (SID banka) is analysed in sub-chapter that follows. According to the fact that nobody has issued a mortgage covered bond so far in Slovenia, we talk about obstacles for it's issuance. The chapter is finished with statistical overlook of Slovenian mortgage and real estate banking. Fourth chapter talks about German legal framework of mortgage covered bondFirst of all we talk about legal framework in Germany and it's characteristics. Then we describe history and development of legal framework as well as momentary legal framework. In part that follows we name and describe subjects of German law. We also make a comment about usage of mortgage covered bond in Germany. Chapter four is concluded with statistical overlook of German mortgage covered bond data. In the last chapter we compare two legal frameworks. We describe essential differences and similarities of the two frameworks.
