Title:POVEZOVANJE BANČNIH INSTITUCIJ: OCENA USPEŠNOSTI PREVZEMA BANKE SKB S STRANI DRUŽBE SOCIETE GENERALE GROUP Z MANAGEMENTSKEGA VIDIKA

Abstract:Bančni sektor na evropskem trgu je v zadnjem obdobju doživljal precej sprememb, najbolj pa sta ga zaznamovala prestrukturiranje in konsolidacija. Izjema pa ni bil niti slovenski bančni sektor, kjer je bil namen povezave bančnih institucijah predvsem možnost povečati dolgoročni obstoj in razvoj vseh ključnih dejavnosti povezane skupine z zmanjšanjem stroškov, doseganjem večje produktivnosti in večje rentabilnosti, večjega dobička in višje vrednosti delnic, kar je predvsem v interesu lastnikov delničarjev. V primeru prevzema SKB banke s strani Societe Generale so bili v ospredju predvsem doseženi strateški cilji, med katerimi so imeli najpomembnejšo vlogo pričakovana sinergija med obema bančnima institucijama, vstop na nove trge oziroma večja prisotnost na obstoječih trgih (za SKB banko je bila pomembna predvsem večja prisotnost poslovalnic na domačem trgu ter na trgih države bivše Jugoslavije ter njeni izvozni distribucijski kanali), storitvena specializacija in delitev storitvenih programov med bankama, bolj kakovostna bančna ponudba strankam, nižji povprečni stroški na enoto ter boljša izmenjava znanj in izkušenj med strokovnjaki znotraj povezanih bank. Pri uresničevanju ciljev prevzema pa je bil pomemben tudi finančni vidik povezovanja obeh bank, kar lahko vidimo predvsem v ekonomiji financ, ki nastajajo kot posledica skupne finančne funkcije.

Title:BANK CONSOLIDATIONS: PERFORMANCE EVALUATION OF TAKEOVER BANK SKB BY SOCIETE GENERALE GROUP FROM MANAGEMENT VIEWPOINT
Abstract:The banking sector in the European market has experienced a lot of changes in the recent time, but most are characterized by the restructuring and consolidation. The exception was not even the Slovenian banking sector, which was intended to link banking institutions, principally to increase the opportunity for long-term existence and development of all key activities of related groups by reducing costs, achieving greater productivity, increased profitability, greater profits and higher share value, which is of shareholders’ interest. In case of the SKB bank takeover by Societe Generale, mainly the foreground strategic objectives have been achieved. The major role had the expected synergy between the two banking institutions, the entry into new markets or the increased presence in existing markets (for the SKB bank was important bigger branch presence in the domestic market and the markets of the former Yugoslavia and its export distribution channels), service specialization and division of service programmes between banks, higher quality of banking services to customers, lower average costs per unit, and better sharing of expertise and experience among experts within the related banks. In pursuing the objectives of the takeover, as important aspect was also the financial integration of the two banks, which we see mainly in the economics of finance, arising as a result of the overall financial functions.
