Title:FINANČNI LEASING Z VIDIKA JEMALCA LEASINGA IN DOBAVITELJA (V SLOVENSKEM IN MEDNARODNEM PRAVU)

Abstract:Pogodbo o finančnem leasingu lahko opredelimo kot pogodbo s katero se dajalec leasinga zaveže, da bo prepustil jemalcu leasinga stvar v uporabo ali uživanje, ta pa mu bo to uporabo plačal, s tem, da ima po izteku dogovorjenega roka jemalec leasinga pravico izbire, da vrne stvar dajalcu leasinga, podaljša pogodbo, stvar odkupi ali jo celo zamenja za novo. Pogodbe o finančnem leasingu se po navadi sklepajo v zvezi z nakupom opreme za proizvodnjo ali podobno (na primer ladij, letal), torej predmetov, ki se gospodarsko izkoriščajo in s tem ustvarjajo sredstva za plačilo njihove uporabe. Pogodbe o mednarodnem finančnem leasingu se navadno sklepajo glede nakupa kapitalskih dobrin kot so ladje, letala in oprema za izkoriščanje rudnih bogastev. Glede na to, da gre za relativno drage objekte z dolgo ekonomsko življenjsko dobo, se tovrstne pogodbe sklepajo za daljši čas. Kar pa pomeni precejšen finančni rizik za dajalca leasinga, ki transakcijo financira. Že iz tega razloga pri pogodbah o mednarodnem finančnem leasingu dobavitelj (proizvajalec ali trgovec) ne nastopa sam kot dajalec leasinga, ampak to funkcijo opravljajo posebne finančne institucije, ki so navadno za leasing specializirane hčerinske družbe velikih bank. V diplomski nalogi sem želela podrobno opredeliti posel finančnega leasinga, njegov razvoj, njegovo pravno naravo, stranke, značilnosti, ter druge lastnosti, ki so značilne za posle finančnega leasinga tako doma, kot na mednarodnem področju. Pri pisanju sem se nekoliko bolj skoncentrirala na mednarodni finančni leasing. Prav tako, pa sem v diplomski nalogi podrobneje opredelila odnos med jemalcem leasinga in dobaviteljem.

Title:FINANCIAL LEASING FROM THE LESEE'S AND SUPPLIER'S POIN OF VIEW (IN SLOVENIAN AND INTERNATIONAL LAW)
Abstract:Financial leasing contract can be defined as a contract which bind the lessor to give the lessee the right to use or consume leased equipment and the lessee will pay him in return agreed amount of money. After the agreed period of time, the lessee has a right to choose, whether he will return the equipment, whether he will extend the contract or he will buy off the equipment or will change it for a new one. Financial leasing contracts are usually made in connection with the purchase of the production equipment or something similar (for example shifts, aircrafts), therefore objects which are economically exploited and with their usage they create a payment funds for they usage. International financial leasing contracts are usually made for the purchase of capital goods such as ships, aircrafts and equipment for the exploitation of mineral resources. These are relatively expensive objects with long economic period for usage, so the agreements are made for longer period of time. All that means a quite big financial risk for lessor, who finance the transaction. Because of this reason in international financial leasing contracts, the supplier of the equipment does not acts as lessor by itself, but is this function provided by special financial institutions, which are usually for leasing specialized subsidiary companies of large banks. In my thesis I wanted to specify the financial leasing, its development, its legal nature, parties of the business, features and other characteristic that are specific to financial leasing transactions in Slovenia and in international financial leasing. I concentrated more on international financial leasing than Slovenian. I also defined the relationship between lessee and the supplier of the leasing equipment.
