Abstract:Težnja po harmonizaciji prava, ki predstavlja vse tesnejše približevanje nekoč ločenih pravnih sistemov evropskih držav, postaja ena bistvenih značilnosti razvoja sodobnega zasebnega prava v Evropi. V okviru EU lahko spremljamo intenzivno zakonodajno aktivnost kot načrtno harmonizacijo pogodbenega prava že več kot dve desetletji. Le ta poteka na dveh ravneh: v okviru in pod okriljem institucij EU ter zunanjega akademskega združenja. Temeljno se je s procesom usklajevanja uredilo vprašanje varstva potrošnikov, zanemariti pa ne moremo tudi aktivnosti na področju splošnega pogodbenega prava, kjer je bilo sprejetih niz smernic iz področja elektronskega poslovanja, zavarovalnega prava, trgovskega zastopanja, bankarskega poslovanja itd. Celoten proces harmonizacije se na ravni EU v zadnjem času vse bolj giblje v smeri vključitve materije pogodbenega prava v en edinstven akt — Evropski civilni zakonik. Diplomska naloga obravnava kompleksno problematiko harmonizacije pogodbenega prava v okviru Evropske unije ter poskuša predstaviti različne vidike tega obsežnega projekta, ki v pravni stroki vzbuja mešane občutke. Prav tako se bo diplomska naloga navezovala na delo in študije akademskih združenj, ki predstavljajo pomemben doprinos k harmonizaciji ne le pogodbenega, ampak tudi civilnega prava v celoti. Še posebej se v delu poudarja pomen in vloga t.i. Landove komisije, ki je ustvarila enega od najpomembnejših unifikatorskih aktov na področju poenotenja pogodbenega prava evropskih držav — Načela evropskega pogodbenega prava. Dalje se v delu analizira tudi pravna narava in vsebina projekta Skupnega referenčnega okvirja za pogodbeno pravo ter Osnutka skupnega referenčnega okvirja, ki ga je kot svojevrstnega naslednika »Landovih načel«, maja 2008 izdala Study group on a European Civil Code, pod vodstvom Christiana von Bara.

Title:THE HARMONISATION OF EUROPEAN CONTRACT LAW
Abstract:Efforts to harmonise the law, which represent an ever closer approximation of once detached legal systems of European countries, are becoming one of the essential characteristics in the development of modern European private law. Within the framework of the EU, we can observe intensive legislative activities aimed at harmonising the European contract law, that have been in motion for more than two decades. The process of harmonisation is carried out on two levels: within the framework and under auspices of the EU institutions and within the academic community. Most noticeably regulated has been the consumer acquis, although other areas of contract law have also been governed by the directives of the EU, including e-commerce, insurance law, commercial representation, banking, etc. Furthermore, the entire process of the harmonisation aims at unifying matters relating to contract law into one unique act – The European Civil Code. The paper deals with the complex issues of the harmonisation of contract law in the European Union and will therefore demonstrate the different aspects of this ambitious project that is raising mixed feelings within the academic community. The paper will also pertain the work and studies of the academic community, which represents a significant contribution to harmonisation of not just the contract law, but the civil law as a whole. In particular, the paper will emphasize the importance and role of the so-called Lando commission, which has passed one of the most significant unifying acts in the field of harmonisation of the European contract law – Principles of European Contract law (PECL). Apart from latter, the paper also analyzes the legal nature and content of the Common Frame of Reference project (CFR) and the Draft Common Frame of Reference (DFCR), a document which is in a way a unique successor of PECL and which was published by the Study group on a European Civil Code in May 2008.
