Title:Institut usklajenega delovanja (acting in concert) v prevzemnem pravu

Abstract:Magistrska naloga podaja bralcu oris instituta acting in concert v prevzemnem pravu. Opredeljena je problematika instituta ter njegova umeščenost v prevzemno pravo in umeščenost slednjega v kontekst drugih področij pravnega reda, zlasti korporacijsko in koncernsko pravo. V nalogi so obravnavana vprašanja glede osrednjih elementov usklajenega ravnanja ter tudi vprašanja v zvezi z domnevami koncertiranja. Pri tem so upoštevani izsledki primerjalnopravne analize nemškega, britanskega, avstrijskega in slovenskega pravnega reda ter prevzemne direktive, pri čemer je največji pomen dan nemški ureditvi. Osrednji elementi, ki v vseh obravnavanih pravnih redih opredeljujejo usklajeno ravnanje, so trije: (i) usklajeno ravnanje, (ii) sporazum kot podlaga za ravnanje, (iii) kontrola nad ciljno družbo (ali onemogočanje uspešnosti prevzemne ponudbe) kot cilj. Analiza ureditev pokaže, da poskuša večina obravnavanih pravnih redov institut opredeliti na dokaj podoben ali vsaj dokaj primerljiv način. V vseh je osrednje in najtežje vprašanje opredelitve pojma kontrola ter ravnanj, ki so primerna za pridobitev oziroma utrjevanje kontrole nad ciljno družbo. V zvezi s sporazumom kot podlago za usklajeno ravnanje se v vseh obravnavanih pravnih redih kot bistveno izkaže vprašanje njegovega obstoja in njegove pravne narave. V nadaljevanju magistrske naloge so pojasnjeni izsledki primerjalne analize pravnih domnev koncertiranja, razvrščeni po vsebini domnev in njihovi pravni naravi. V zaključku naloge so navedeni tudi konkretni predlogi za spremembo obstoječe ureditve nekaterih vprašanj instituta usklajenega ravnanja v veljavnem slovenskem zakonu o prevzemih.

Title:Institute »acting in concert« in takeover law
Abstract:Master's thesis provides the reader with an outline of the institute acting in concert in the perspective of takeover law. Problems of the institute are identified, its position in the takeover law as such, as well as the position of the takeover law in the context of other legal fields in particular corporate law and law regulating relations between related (control and controlled) companies. Questions concerning the core elements of the institute acting in concert are dealt with in detail, as well as issues relating to the presumptions of concerted acting. The results of comparative analysis of German, English, Austrian and Slovenian legal regimes as well as the European takeover directive are employed in the thesis; with particular emphasis being given to the German legal regime. As arises from comparative analysis there are three essential components of concerted acting: (i) concerted action, (ii) agreement as a basis for concerted action, and (iii) control over the target company (or frustrating the successful outcome of a bid) as an objective. Analysis of legal regimes shows that most of them define the institute acting in concert in a fairly similar or at least in somewhat comparable manner. The central and most demanding issues in each and every regime mentioned are the definition of control and the question which practices are suitable for acquisition and consolidation of control over the target company. Considering an agreement as a basis for concerted acting raises two key issues in all the jurisdictions: existence of the agreement and its legal nature. Further on, the results of comparative analysis are explained concerning legal presumptions of concerted acting, classified by the content of the presumptions and their legal nature. In the conclusion of the master’s thesis some concrete proposals are presented concerning amendments to current Slovenian takeover law in relation to certain issues regarding the institute acting in concert.
