Title:PRIMERJAVA PRAVNIH IN FINANČNIH POSLEDIC PRISILNE PORAVNAVE IN STEČAJA

Abstract:Kriza v podjetju pripelje podjetje do insolventnih postopkov. Prav prezadolženost oziroma insolventnost je tista, ki pripelje do finančne krize v podjetju in posledično do nujnosti izvedbe insolventnih postopkov. Podjetje navadno najprej uvede postopek prisilne poravnave, kajti želi ohraniti poslovanje podjetja. Prisilna poravnava je torej postopek, kjer se izvede finančno prestrukturiranje. Načrt finančnega prestrukturiranja namreč vsebuje metode, s katerimi poskušamo izboljšati finančno stanje podjetja ter nadaljevati z njegovim poslovanjem. Stečaj pa je postopek, ki se uvede po tem, ko ni nikakršnega upanja več za poslovanje podjetja. Torej celotno premoženje insolventnega dolžnika se pretvori v stečajno maso iz katere se kasneje poplačajo terjatve upnikov in pa stroški celotnega postopka. Ob koncu diplomske naloge lahko potrdimo tudi trditev iz uvoda, da se posledice prisilne poravnave in stečaja res razlikujejo. Sicer gre za precej več podobnosti pri pravnih posledicah. Tukaj lahko opazimo iste pravne posledice glede terjatev upnikov, ki se spremenijo iz nedenarnih v denarne, občasne v enkratne, iz tuje v domačo valuto. V obeh primerih gre tudi za možnost pobota terjatev. Precej drugače pa je pri finančnih posledicah. Pri prisilni poravnavi je bistvo finančno prestrukturiranje, ki ima različne metode. Najpogostejša je zmanjšanje in odlog plačila. Medtem ko gre pri stečaju za preoblikovanje celotnega premoženja insolventnega dolžnika v stečajno maso, iz katere se najprej poravnajo stroški stečaja nato pa terjatve upnikov. Pri poravnanju terjatev upnikov imajo pri obeh postopkih prednost tisti upniki, katerih terjatve so zavarovane. Vse te pravne in finančne posledice pa vplivajo na izbor postopka. Pomembno je namreč analizirati koristi in povzročeno škodo za udeležence v postopku prisilne poravnave in v postopku stečaja. Vendar smo ugotovili, da ima vsak udeleženec tako pri enem kot tudi pri drugem postopku nekaj koristi, hkrati pa tudi ogromno povzročene škode. Pri upnikih je to predvsem izguba velikega dela terjatev, pri zaposlenih izguba zaposlitve, pri insolventnem dolžniku pa je glavna negativna posledica pri stečaju izguba premoženja. Medtem ko pri prisilni poravnavi poskuša ohraniti poslovanje, vendar je le to velikokrat neuspešno, saj zaradi finančne krize in prezadolženosti podjetju javnost in poslovni partnerji ne zaupajo več.

Title:COMPARISON OF LEGAL AND FINANCIAL IMPLICATIONS OF RECEIVERSHIP AND BANKRUPTCY
Abstract:The crisis in the company bring the company to insolvency proceedings. Over- indebtedness or insolvency is one that leads to a financial crisis in the company and consequently, need to implement the insolvency proceedings. Companies tipically first introduce receivership becouse the company wants to keep their business. Receivership is the process which is carried out financial restructuring. Financial restructuring plan contains methods which try to improve the financial situation of the company and continue in business. Bankruptcy is a process which is imposed when there is no more hope for the company. Total assets of the insolvent debtor is converted into the bankruptcy estate from which the claims of creditors to be repaid. In the end we could confirm the allegations made in the introduction. Consequences of receivership and bankruotcy are different. More similarity is in the legal conequences. We can see the same consequences for claims of creditors. They are changed from non- monetary to monetary, from occasional to singl, from foreign currency to domestic currency. Financial implications are quite different. In receivership is important financial restructuring with diffrent methods. The most common method is to reduce and delay payments. While it is in bankruptcy tranformation of their total assets in bankruptcy estate. At first from that are paid expenses and then claims of creditors. In both process, preference is given to creditors of secured claims. All legal and financial conequences affected on choice of both process. It is important to analysis of benefit and harm in raceivership and bankruptcy. But all the participants in raceivership and bankruptcy have some benefit and some harm. Creditors lose a large part of their claims, many employees lost their jobs, insolvent debtors lose their properties. In the receivership is trying to keep their business, but it is very difficult. Because of over- indebtedness public and many employees does not trust the company any more.
