Abstract:	Človekove migracije obstajajo, odkar obstaja človeštvo. Slab gospodarski položaj tretjih držav v povojnem obdobju, iz tega izhajajoča brezposelnost, velika siromašnost ter zaton določenih slojev družbe v globlji socialni prepad silijo ljudi v migracijo – z željo po boljšem življenju. Tudi razlogi za migracije ostajajo skozi vsa obdobja enaki, povezani z delom in družino. Republika Slovenija je dokaj odprta država glede dostopa do trga delovne sile in združitve družin, vendar kaže konservativnost v zavračanju polne vključitve tujcev oz. priseljencev v družbo, v kateri živijo. Smo narod družbenih predsodkov, v želji po ohranitvi lastne kulture in jezika. V diplomskem delu je predstavljen pojem »družba z omejeno odgovornostjo« kot gospodarska subjektiviteta, s skupkom statusno pravnih značilnosti. Registracija družbe z omejeno odgovornostjo v Republiki Sloveniji predstavlja prvi korak k pridobitvi dovoljenja za prebivanje tujca v Republiki Sloveniji oz. njegovi migraciji, kar je nadalje prikazano v diplomski nalogi. Ker tujec ni fizično prisoten v naši državi, celoten postopek izpelje njegov pooblaščenec ali zastopnik. Funkcija tujca v družbi z omejeno odgovornostjo ponazarja pogoj pridobitve delovnega dovoljenja. V diplomski nalogi so obravnavani in ponazorjeni ključni dejavniki, ki naj bi ponazarjali fiktivnost družb, katerih lastniki so tujci. Danes, v času splošne gospodarske krize v državi, število zaposlenih tujcev naglo upada, čemur botrujejo stečajni postopki družb zaradi insolventnosti. Posledično so zabeležene migracije tujcev v schengenski prostor. Republika Slovenija je polnopravna članica schengenskega območja od 1. 9. 2007. Schengensko območje je nastalo iz ekonomske potrebe po odstranitvi mejnih ovir pri transportu, trgovini in pretoku delovne sile. Zavedati se moramo, da so ti tujci pretežno osebe z nizko stopnjo izobrazbe, s tradicijo ukoreninjenega doslednega monoteizma islama in zato slabše prilagodljivi okolju, hkrati pa so prevzeti z željo o boljšem življenju in večjem zaslužku. Na področju ravnanja z družbo bi tujec kot lastnik družbe v Republiki Sloveniji moral postopati v skladu s slovensko zakonodajo, sicer prihaja le do odtekanja kapitala iz države.

Title:	FICTIONALITY OF A FOREIGN OWNED PRIVATE LIMITED LIABILITY COMPANY
Abstract:	Human migration has taken place at all times and in the greatest variety of circumstances the beginning of mankind. People are bound to migrate from one country to another due to poor economic situation of Third countries in the postwar period which has led to unemployment, enormous poverty as well as decline of certain strata of society into deeper social gap. The main reason for migration is peoples search for a better life. Similarly, the reason for migrations has remained practically unaltered throughout all periods of history, regarding mainly work and family. The Republic of Slovenia is a fairly open state in terms of labour market and family reunion. Nevertheless, to a certain extent, it may be seen as conservative as there is a certain reluctance to fully accept foreigners or refugees in the society in which they live. We are still a nation of social prejudices because we want to maintain our own culture and language. In this Bachelors degree the concept of Limited Responsibility Society is presented as economic subjectivity with a set of legal status characteristics. The registration of Limited Responsibility Society in the Republic of Slovenia represents the first step to getting a Foreigner residence Permit in the Republic of Slovenia and to their migration which is further shown in the Bachelors degree. Due to the fact that a foreigner may not be physically present in our state, the whole procedure is to be carried out by their representative or agent. Thus position held by a foreigner in the Limited Responsibility Society illustrates the condition of obtaining the work permit. The Bachelors degree deals with illustration of key factors which should illustrate the fictional societies owned by foreigners. Nowadays, in a time of general economic crisis in our country, there is a sharp decrease in the number of employed foreigners mainly due to bankruptcy of societies and insolvency. Consequently, migrations of foreigners have been recorded into the Schengen Area. The Republic of Slovenia has been a full member of Schengen Area since 1.9.2007. The Schengen Area was born out of economic needs after the removal of border barriers to transportation, trade and the movement of labour. We must be aware of the fact that these foreigners are mainly people with low educational level, with a tradition-rooted strict Islamic monotheism. Therefore, they are less flexible to the environment. However, they place their hope in a better life and strive to gain a higher income. When dealing with a society, a foreigner as the owner of the society should act in accordance with Slovenian legislation or else it leads to outflow of capital from the country.
