Title:REŠEVANJE PODJETJA S PRISILNO PORAVNAVO

Abstract:Zaradi vsesplošne gospodarske krize, ki je povzročila veliko plačilo nedisciplino, se je mnogo podjetij znašlo v kriznih situacijah. Podjetja zamujajo z izpolnitvijo svojih obveznosti, zamujajo z izplačilom plač ali pa je vrednost njihovega premoženja manjša od vsote njihovih obveznosti, se pravi, da so postala prezadolžena. Vsa ta dejstva opisujejo insolventnost. Zakon o finančnem poslovanju, postopkih zaradi insolventnosti in prisilnem prenehanju (ZFPPIPP) obravnava dva postopka zaradi insolventnosti, in sicer prisilno poravnavo in stečaj. Prisilna poravnava je sodni postopek, ki se na predlog insolventnega dolžnika začne in poteka pred sodiščem z namenom, da se odpravi prezadolženost dolžnika. S sklenjeno in potrjeno prisilno poravnavo dolžnik lahko doseže, da se njegovi dolgovi zmanjšajo ali odložijo v skladu s pogoji prisilne poravnave. Poleg tega se s postopkom prisilne poravnave insolventnemu dolžniku omogoči finančno prestrukturiranje z namenom doseganja kratkoročne in dolgoročne plačilne sposobnosti. Upnikom se pri tem zagotovijo ugodnejši pogoji poplačila njihovih terjatev, kot pa če bi bil nad dolžnikom začet stečajni postopek. Prisilno poravnavo lahko s procesnega vidika razdelimo na predhodni in glavni postopek. Predhodni postopek se začne z vložitvijo predloga za začetek poravnave, glavni pa s sklepom, s katerim sodišče odloči o začetku postopka zaradi insolventnosti. Jedro postopka prisilne poravnave in obvezen dokument, ki ga mora predložiti dolžnik skupaj s predlogom za začetek postopka prisilne poravnave, je načrt finančnega prestrukturiranja. S tem načrtom dolžnik opiše predlog poplačila upnikov in natančno obrazloži vse ukrepe, ki jih bo uporabil z namenom, da bi odpravil vzroke svoje insolventnosti.

Title:Financial restructuring of a company with compulsory settlement
Abstract:The overall economic crisis has caused great payment indiscipline for which many companies has found themselves in crisis situations. The companies are delaying to fulfil their obligations, payment of wages is delayed or even some of the companies have less assets than liabilities, which means that they are over-indebted. All these characteristics describe the insolvency. Slovenian legislation deals with two insolvency proceedings, namely compulsory settlement and bankruptcy. Compulsory settlement is a judicial process, which starts when an insolvent entity files for insolvency in order to eliminate his over-indebtedness. With a confirmed compulsory settlement a debtor can achieve a reduction of his debt in accordance with the agreed terms. In addition, the above mentioned proceeding allows an insolvent debtor a financial restructuring in order to achieve short-and long-term solvency. Creditors involved in the compulsory settlement are provided with more favourable terms of payment of their claims as if it would have been in the debtor’s bankruptcy. From procedural aspect the compulsory settlement can be divided into preliminary and main process. The preliminary process begins with submission of a proposal to start a settlement, while the main process starts when a court decides to initiate the settlement. The core and the binding document of compulsory settlement is an insolvency plan. The insolvency plan describes to what extent the unsecured creditors’ rights may be reduced, deferred or secured and it also describes the actions used by the debtor in order to eliminate the causes of insolvency.
