Title:NAČELO TAJNOSTI V MEDNARODNI GOSPODARSKI ARBITRAŽI

Abstract:Vsak trgovski odnos lahko potencialno sproži spor in sodobna trgovina je za nemoten razvoj ter hitro in učinkovito reševanje nesoglasij morala razviti poseben institut. Arbitraža predstavlja eno izmed alternativnih oblik, saj ima sam postopek številne prednosti (strokovnost, fleksibilnost), a tudi nekaj slabosti. Nadalje so arbitri v samem postopku dolžni spoštovati različna procesna načela, med katerimi je zelo pomembno tudi načelo tajnosti arbitražnega postopka. Arbitražni postopek je načeloma tajne narave, strankam pa je dana možnost, da vodijo in sodelujejo v postopku brez prisotnosti javnosti. Zaupnost arbitražnega postopka je eden izmed ključnih elementov arbitražnega postopka. V svetu sta se razvila dva koncepta obravnave načela tajnosti. Sistem implicitno določene zaupnosti in sistem izrecno določene zaupnosti. V sistemu izrecno določene zaupnosti mora biti tajnost določena (v arbitražnem sporazumu, v mednarodni konvenciji, v nacionalni zakonodaji, v pravilih institucionalnih arbitraž ali v sodni praksi), medtem ko se v sistemu implicitno določene zaupnosti ta dolžnost predpostavlja. Svetovni pravni sistemi različno urejajo obravnavano področje. Načelo zaupnosti se v arbitražnem postopku veže različnih elementov. Ta obveznost se lahko nanaša na sam arbitražni postopek, ter dolžnost strank in arbitrov ohraniti samo eksistenco arbitražnega postopka tajno. Nadalje se lahko zaupnost v arbitražnem postopku veže na podatke in dokaze pridobljene med samim postopkom. In ne nazadnje, zaupnost v povezavi z arbitražno odločbo, kot sklepnim aktom v procesu. V praksi so znani tudi primeri, ki so izoblikovali pravila, pod katerimi pogoji je dovoljeno razkriti varovane informacije (javni interes, dogovor strank, javni red, zaščita strankinih pravic, zadeve pred sodiščem). Edini sankciji, ki ju je možno uveljaviti ob domnevni kršitvi načela tajnosti arbitražnega postopka, sta denarna odškodnina ter zahteva za izdajo začasne odredbe, ki prepoveduje nadaljnja razkritja. V prihodnosti bi bilo najustrezneje urediti zmedo na tem področju z enotnim pravilom glede upoštevanjem načela tajnosti arbitražnega postopka.

Title:DUTY OF CONFIDENTIALITY IN INTERNATIONAL COMMERCIAL ARBITRATION
Abstract:Any commercial relationship has the potential to trigger conflict and modern-day trade had to develop a specific institute that would enable rapid and effective resolution of disputes. Arbitration is one of the alternative forms, since the procedure itself has many advantages (professionalism, flexibility) and on the other hand some disadvantages. Furthermore, the arbitrators have to comply with various procedural principles and one of the most important principles in the arbitration proceedings is the duty of confidentiality. In principle the arbitration process is confidential. Duty of confidentiality is one of the key elements in arbitration proceedings. The disputes often arise out of a very important business relationship and parties want to keep them confidential. Two concepts were developed in practice. Implied duty of confidentiality means that the parties should keep the information confidential in all cases. Conversely, explicit duty of confidentiality requires defined duty of confidentiality in one of the legal sources (an arbitration agreement or an international convention or national legislation or arbitration chambers institutional rules or case law). Various countries deal differently with the issue. Different elements of the arbitration are confidential. There may by a duty to keep the existence of the arbitration proceedings confidential. Furthermore, the evidence and documents introduced in the proceedings and the arbitration award should be kept confidential. In practice there are exceptions to the duty of confidentiality. Therefore information may be disclosed if there is a public interest, if the parties agree, in the courts or when the party has a legal right to do so. If the duty of confidentiality is breached the party that has been damaged has the right to monetary damages or to an injunction that prohibits further disclosure. A uniform rule should be formed in the future to prevent confusion in this area.
