Title:DOVOLJENE SPREMEMBE KONCESIJSKE POGODBE

Abstract:Koncesijska pogodba ima posebno pravno naravo, saj ni zgolj pogodba obligacijskega prava. V koncesijskem razmerju namreč koncedent ne nastopa le kot enakovredna pogodbena stranka, pač pa tudi kot oblast, torej ex iure imperii. Prav dvojna narava koncesijske pogodbe, da je na eni strani obligacijsko, torej zasebnopravno razmerje, na drugi strani pa razmerje oblasti, torej upravno-pravno razmerje, je jedro celotne problematike koncesijske pogodbe. Medtem ko v civilnem pravu velja načelo, da se morajo pogodbene obveznosti izpolniti tako, kot je bilo dogovorjeno ob sklenitvi pogodbe in je poudarjeno načelo enakopravnosti strank, pa pri koncesijski pogodbi civilno pravno načelo enakopravnosti strank ne velja v celoti. V magistrski nalogi sem obravnaval možnosti dovoljenih sprememb koncesijske pogodbe. Eden izmed dovoljenih načinov spremembe koncesijske pogodbe je sprememba s pomočjo instituta enostranske spremembe koncesijske pogodbe s strani koncedenta zaradi javnega interesa. Predstavljeni so pogoji, pod katerimi lahko koncedent, ki je oseba javnega prava in ki koncesionarju prepusti izvajanje javne funkcije, tudi po sklenitvi koncesijske pogodbe vpliva na izvajanje te javne funkcije. Do spremembe koncesijske pogodbe pa lahko pride tudi zaradi spremenjenih okoliščin, torej neodvisno od volje pogodbenih strank, kar tudi razlikuje ta institut pogodbenega prava od enostranskega ukrepa javne oblasti v koncesijskem razmerju, ki je akt javne oblasti. Tudi v primeru spremembe koncesijske pogodbe zaradi spremenjenih okoliščin pa morajo biti izpolnjene določene predpostavke. Obravnavane pa so tudi nekatere druge dovoljene spremembe koncesijske pogodbe.

Title:Concession contract allowed changes
Abstract:The concession contract has a specific legal nature; it is not just a contract under the law of obligations. In concession relationship namely the contracting body is not acting merely as an equal contracting party, but also as an authority ex iure imperii. Central problem of the concession contract is its dual nature, one side there it is an obligation, i.e. private law relationship on the other jurisdiction i.e. administrative law relationship. While in civil law underling principle is that contractual obligations must be fulfilled as agreed within the contract emphasizing the principle of equality of all parties; however within a concession contract civil legal principle of equality of the parties does not fully apply. In the thesis I considered the possibilities of the changes allowed of the concession contract. One of the permissible ways to change the concession contract is by instituting unilateral changes in the concession contract by contracting body in public interest. I present the conditions under which a contracting body, a legal person of public law, that leaves concedes the execution of a given public function to a concessionaire, can still influence this execution even after the contract was signed. Change of concession contract can occur as well because of changed circumstances, independently from the will of involved parties. That also distinguishes institution of contractual law from a one-sided action of public authority within concession relationship that is instrument of public authority. Even in the case of changes to the concession contract due to change in circumstances, some conditions must be fulfilled. I also considered some other allowed changes of the concession contract.
