Title:VEČSTOPENJSKE KLAVZULE IN VPLIV DOLOČBE O ZASTOPANJU NA POSAMEZNI STOPNJI

Abstract:Mednarodno gospodarsko pravo je zelo kompleksno in pogosto pride do sporov na tem področju. Pri sklepanju pogodb večina strank vključi v pogodbo klavzulo o reševanju morebitnih medsebojnih sporov. Namesto, da bi se stranke odločile za en postopek reševanja spora, lahko sestavijo celoten mehanizem reševanja sporov. Tako se v domačih in mednarodnih pogodbah po vsem svetu vse bolj pojavljajo večstopenjske klavzule. Sestavljene so iz več stopenj, ki vsebujejo določen postopek za reševanje spora, pri čemer so prvotne stopnje namenjene bolj neformalnim postopkom, kot zadnja pa je predviden postopek arbitraže ali pravde (tako se stopnjuje tudi stopnja formalnosti postopka – od manj k bolj formalnim postopkom). S tem, ko je arbitraža določena šele kot zadnja stopnja, pomenijo prejšnje stopnje večjo vključenost v reševanje spora, kar lahko pripelje do hitrejše rešitve, pa tudi mogoče bolj seznani stranke s samo problematiko spora. V vsakem primeru pa strankama še vedno na koncu (po izkoriščenih prejšnjih stopnjah) preostane arbitraža, če je spor vseeno preveč kompleksen, da bi ga bilo mogoče rešiti samo z medsebojno komunikacijo. V večstopenjskih postopkih reševanja sporov se tako pogosto pojavlja vprašanje, kako obvezujoča je posamezna stopnja in kakšen vpliv ima (ne)izčrpanje določene stopnje na naslednjo stopnjo. Ker so prvotne stopnje bolj neformalne in predvidevajo aktivno sodelovanje strank, se v večstopenjskih klavzulah pogosto pojavi zahteva po točno določeni osebi, ki bo stranki na določeni stopnji zastopala. Problem nastane, ko stranka ni pravilno zastopana. Ali je zahteva po zastopanju na določeni stopnji obvezujoča in kakšen vpliv ima nepravilno zastopanja na posamezno stopnjo reševanja spora? Odgovore na vprašanja nam dajeta teorija in sodna praksa.

Title:MULTI-TIER CLAUSES AND THE INFLUENCE OF REPRESANTION REQUIREMENT PROVIDED ON A SEPARATE TIER
Abstract:International commercial law is very complex and therefore disputes on this field are very common. When drafting a contract, the parties usually include a provision with dispute resolution system. Instead of choosing just one, the parties have an option to include whole mechanism for resolving disputes. There is a growing tendency to include multi-tier clause in domestic and international commercial contracts all over the world. Multi-tier clauses provide different tiers for resolving dispute. Initial tiers usually prescribe more informal procedures, whereas the last tier prescribes arbitration or litigation (therefore included procedures grow from less to more formal procedures). By prescribing arbitration as last tier, previous tiers require more involvement of parties in resolving dispute, which can lead to faster resolution of the dispute and parties get more information about the dispute. If the parties cannot resolve the dispute on previous tiers because of the complexity of the dispute, they can still initiate arbitration proceeding, where the tribunal will decide instead of them. When including a multi-tier clause, one can question whether a separate tier is binding upon the parties and what will be the consequences if a party does not comply with first or second tier obligation? Does it have influence on the next tier? Since the initial tiers tend to be more informal and consequently require that parties cooperate actively, multi-tier clauses often provide a representation requirement on a separate tier. Complications may appear if a party does not fulfill its representation requirement. Again, the question arises whether the representation requirement is binding upon parties and moreover, how can misrepresentation influence a separate tier? The answers are being provided by the theory and case law.
