Title:PRAVNI VIDIKI MANDATORNE MULTILATERALNE KOMPENZACIJE

Abstract:Sveženj zakonodajnih ukrepov, za preprečevanje zamud pri plačilih, je obogatil slovenski pravni red z institutom obveznega večstranskega pobotanja (mandatorna multilateralna kompenzacija), kakršnega sicer ni zaslediti v širšem evropskem prostoru. Omenjeni institut temelji na ideji obligacijskopravnega instituta pobotanja, torej sočasnega prenehanja vzajemnih denarnih obveznosti pogodbenih strank, ki je zaradi svojih prednosti nepogrešljivega pomena med drugim tudi v okviru insolvenčnih postopkov, v novejšem času pa tudi na področju ureditve preprečevanja zamud pri plačilih. Glede na materialnopravni temelj, ki je izhodišče pravnega okvirja oz. normiranja obveznega večstranskega pobotanja, avtor izhaja iz temeljnih splošnih načel obligacijskega prava, na podlagi katerih obravnava institut pobotanja. Znotraj nadaljnje poglobljene obravnave veljavne ureditve instituta obveznega večstranskega pobotanja so obravnavane tudi posebne oblike instituta pobotanja, kakor so urejene v okviru drugih pravnih področij, prav tako tesno povezanimi s cilji politike preprečevanja zamud pri plačilih. Posebna pozornost je namenjena vprašanjem pogojev za pobotanje in izjemam od pogoja vzajemnosti po Obligacijskem zakoniku v razmerju do ureditve po Zakonu o preprečevanju zamud pri plačilih, kakor tudi vprašanjem posredne vzajemnosti kot lex specialis pogoja po Zakonu o preprečevanju zamud pri plačilih in njenim pravnim posledicam, problematiki odškodninske odgovornosti in neupravičene obogatitve, teku obresti, pravnim možnostim izpodbijanja večstranskega pobota v stečajnem postopku, problematiki cesije v zavarovanje in pobotanju nedolga. Avtor zaključuje obravnavo posameznih vprašanj ureditve instituta obveznega večstranskega pobotanja s kritičnim vrednotenjem posameznih pravnih učinkov, ki so posledica neusklajene pravne ureditve instituta obveznega večstranskega pobota s pravnim sistemom kot celote, svoje ugotovitve pa povezuje v zaokroženo celoto.

Title:LEGAL ASPECTS OF THE MANDATORY MULTILATERAL COMPENSATION
Abstract:The recently adopted legislative measures for prevention of late payments, which has enriched the Slovenian legal system with the institute for mandatory multilateral compensation, cannot amid European legal systems. The above mentioned legal institute is based on the law of obligations' institute of compensation, which can be defined as a simultaneous ending of the parties' mutual monetary obligations and which is due to its advantages of indispensable importance also within insolvency proceedings, and more recently also in the field of legislative measures for prevention of late payments. With regards to the substantive legal basis, which represents the origin of the legal frame or the regulation of the mandatory multilateral compensation, the research is imposed in the field of the legal institute of compensation under the fundamental general principles of the law of obligations. The further profound discussion of the institute of the mandatory multilateral compensation in compliance to the legislative measures for prevention of late payments addresses specific questions about the compensation, as they are regulated in other legal fields, which are also closely linked to the objectives of the prevention of late payments policy. A special attention is regarded to the issues regarding the conditions for compensation and the exceptions related to the condition of mutuality according to the relationship between the Slovenian Code of Obligations and the Slovenian Act on prevention of late payments, as well as the issues regarding the questions of indirect mutuality as a requirement of the lex specialis Act on prevention of late payments and its legal implications, issues regarding the liability and unjustifiable enrichment, interest growth, legal possibilities to void a multilateral compensation in insolvency proceedings, the issues related to transfer of right for the purpose of the insurance of obligations and the compensation of inexistent debts. The work concludes the discussion of individual issues regarding the use of the rules related to mandatory multilateral compensation with a critical evaluation of the various legal effects, which are a result of inconsistency between the rules of the mandatory multilateral compensation and the entirety of the legal system, whereupon its' findings are percepted as a coherent entirety.
