Title:Čezmejne združitve in prevzemi kot dejavnik tranzicije v EU : doktorska disertacija

Abstract:Naraščanje obsega mednarodnih tokov kapitala in znotraj njih čezmejnih združitev in prevzemov je prineslo nove priložnosti za podjetja, ki so udeležena v tovrstnih mednarodnih transakcijah. Po drugi strani pa z vnašanjem strukturnih sprememb v gospodarstvu čezmejne združitve in prevzemi povzročajo tudi določen pritisk na ekonomsko politiko države prejemnice tujih investicij. Slednji se je v zadnjih letih dodatno povečal predvsem zaradi poseganja tovrstnih procesov v strateške panoge držav prejemnic, poleg tega pa so se v vlogi tujih investitorjev pojavili tudi t.i. skladi državnega premoženja, ki lahko v primeru večjih nakupov ogrozijo ekonomske cilje posamezne države – prejemnice tuje investicije. Študije, ki bi raziskovale zgolj posledice procesov čezmejnih združitev in prevzemov na gospodarstvo države prejemnice, predvsem zaradi težav s pridobivanjem podatkov v literaturi niso tako pogoste kot študije, ki zajemajo celotne neposredne tuje investicije. Dodatno pa so osredotočene predvsem na analizo posameznih makroekonomskih in finančnih posledic tovrstnih procesov ali pa se nanašajo na skupino podjetij ali panog. Medtem ko so prve preširoke, da bi lahko prepoznale razlike med posameznimi skupinami držav, so slednje preozke, da bi lahko pojasnjevale in ugotavljale stilizirana dejstva. Za raziskovalce in realno ekonomsko politiko so ta gotovo zanimiva, saj omogočajo vpogled v realna dogajanja na omenjenem področju. ...

Title:Cross-border mergers and acquisitions as the factor of transition in the EU
Abstract:Rising international capital flows and cross-border mergers and acquisitions have brought new opportunities for companies which participate in such transactions. On the other hand, as this causes structural changes in the economy, cross-border mergers and acquisitions represent also certain pressure on the economic policy in the receiving country. This pressure has risen in the last few years mainly because of two reasons, the first one being the entrance of cross-border mergers and acquisitions into the strategically important sectors and the second one being the increased role of foreign wealth funds in cross-border mergers and acquisitions, which can, in the case of big acquisitions, threaten economic goals of the individual receiving country. Owing to the problem with data collection, the studies which research exclusively the consequences of inward cross-border mergers and acquisitions on the economy of the receiving country are quite rare. The studies which are related to the foreign direct investment and deal either with the analysis of macroeconomic and financial consequences of cross-border mergers and acquisitions or with the group of countries or sectors are, in contrast, more frequent. While the first group of studies comprises the analyses which are too broad to recognize the differences between individual groups of countries, the second ones are too narrow to recognize and state stylized facts. As the latter enable the insight into what actually occurs in this field, they are very interesting for researchers and for real economic policy. Considering the influence of cross-border mergers and acquisitions on the economic goals also in developed countries, it is not surprising that, due to these processes, they are faced with factors which were one decade ago characteristic mainly for transition countries. Since cross-border mergers and acquisitions change the ownership of the most important sectors and the ownership in sectors of big economic importance respectively, they have recently caused reactions of economic policy known as economic nationalism. ...
