Title:PRIMERJAVA OBVEZNOSTI PRODAJALCA PO KLAVZULI CPT INCOTERMS 2010 IN OBLIGACIJSKEM ZAKONIKU

Abstract:Prodajna pogodba je najpomembnejši in najpogostejši pravni posel v mednarodni trgovini. Zaradi njene raznolikosti v pravnih redih se je pojavila potreba po njenem poenotenju. Ta se je v veliki meri dosegla z Dunajsko konvencijo, ki ureja mednarodno gospodarsko prodajno pogodbo. Pomembno pa je k poenotenju gospodarskega pogodbenega prava prispevala tudi Mednarodna trgovinska zbornica (ICC), ki je zaradi potreb poslovne prakse izdala zbirko klavzul Incoterms, ki podrobno urejajo pravice in obveznosti strank glede dobave, njihova uporaba pa je podrejena volji strank, ki jih lahko v prodajno pogodbo prosto vključijo. Ta pravila so namenjena tako domači, kot tudi mednarodni trgovini. Tako Obligacijski zakonik, kot tudi klavzule Incoterms določajo, da je obveznost prodajalca dobaviti blago kupcu oziroma storiti vse potrebno, da bo kupec lahko prevzel blago. Stranke se pogosto glede pogojev dobave dogovorijo tako, da se sklicujejo na eno izmed 11 klavzul, seveda pa se način dobave od klavzule do klavzule razlikuje. V mojem diplomskem delu bom podrobno predstavila zgolj klavzulo CPT, še posebej obveznosti, ki jih z njeno vključitvijo v pogodbo prevzame prodajalec. Ta klavzula sodi med klavzule o odpremi. Za njih je značilno, da sta točka prehoda nevarnosti s kupca na prodajalca in točka prehoda stroškov, ločeni. Predstavila bom tudi obveznosti prodajalca po Obligacijskem zakoniku, ki je temeljni pravni akt na področju pogodbenega prava. Njegova pomanjkljivost glede prodajne pogodbe pa je neprilagojenost poslovni praksi, poleg tega pa so njegove določbe splošne, kar posledično lahko pripelje do nesporazumov med strankama. V diplomskem delu bom podrobno primerjala obveznosti prodajalca glede kraja izročitve in obveznosti v zvezi z dobavo, glede prehoda nevarnosti ter glede prehoda stroškov po Obligacijskem zakoniku in po klavzuli CPT Incoterms 2010. S praktičnima primeroma bom prikazala morebitne probleme, ki lahko za stranke nastanejo v primeru vključitve klavzule CPT Incoterms v prodajno pogodbo, opredelila pa bom tudi na kaj morajo biti stranke pozorne, ko se dogovorijo za uporabo klavzule CPT Incoterms.

Title:COMPARISON OF SELLERS OBLIGATIONS UNDER CPT INCOTERMS 2010 AND SLOVENIAN CODE OF OBLIGATIONS
Abstract:Contract of sale is one of the most important and most common legal contracts in the international sale of goods. Different regulations in different countries often cause many problems, therefore it became nessecary to unify the contract of sale. That happened with CISG which unifies international contract of sale. ICC helped unification of contract of sale when it first published Incoterms clauses. Incoterms clauses were published because of the needs of business practice. These clauses regulate rights and duties of seller and buyer about delivery of goods. Use of Incoterms clauses depends on sellers and buyers willpower to incorporate them into the contract. These clauses can be used for national or international sale of goods. Code of obligations and also Incoterms clauses define that seller must supply the goods to buyer or do everything that must be done for buyers acquisiton of goods. The parties often use one of 11 Incoterms clauses to specify acquisiton of goods. Way of acquisition of goods depends on the Incoterms clause that is being used. In my diploma work I will thoroughly present Incoterms Clause CPT, especially sellers obligations. These clause fits among shipment clauses. Characteristic of such clauses is that the moment of passing coincidental demolition risk and the moment of passing expenses are separated. I will also present the sellers duties, when parties use Slovenian Code of Obligations, which is the most important legal act about contact law. Its imperfection is that it is not suited for needs of bussines practice and that its rules and regulations are too abstract, which can lead to many disputes between parties. In my diploma work I will very thoroughly compare sellers obligations on place of delivery, on passing of risk for coincidential demolition and on expenses between CPT Incoterms and Slovenian Code of Obligatons. With some practical examples I will present the problems that can be caused by incorporating Incoterms clauses into contract of sale and I will also explain on what, must parties of contract be especially careful about.
