Abstract:	V uvodnem delu smo opredelili problem prezadolženosti holdinga Istrabenz, d. d. in prodaje njegove lastnine – hotela Kempinski Palace Portorož, ki smo ga obravnavali skozi celotno diplomsko delo, to je skozi namen in cilje ter osnovno trditev, ki smo jo dokazovali med pisanjem seminarja. V drugem, teoretičnem delu diplomskega dela, smo natančneje predstavili pogodbo o upravljanju: njene značilnosti, parametre in postopke izvedbe med lastnikom hotela ter prihodnjim upraviteljem. V tretjem poglavju smo predstavili osnovne podatke o holdingu Istrabenz, d. d. in na podlagi javno dostopnih finančnih podatkov prikazali njegovo zadolženost. Osredotočili smo se na osnovne podatke o hotelu Kempinski Palace Portorož in prikazali, kako zadolženost podjetja Istrabenz, d. d. vpliva na hčerinsko podjetje Istrabenz Turizem, d. d. V četrtem poglavju smo predstavili špansko turistično podjetje Barceló Group kot možnega novega upravitelja hotela Kempinski Palace Portorož. Navedli smo osnovne podatke o podjetju Barceló Group, ki so ključni za razumevanje pomembnosti tega podjetja, in nekaj primerov uspešnega prevzema v upravljanje. V petem poglavju smo najprej opredelili razloge, zakaj bi lahko bilo podjetje Barceló Group ustreznejši upravitelj hotela Kempinski Palace Portorož od sedanjega. Nato smo izvedli SWOT-analizo podjetja z vidika upravljanja tega hotela in na koncu prikazali predlog postopka prevzema hotela Palace v upravljanje podjetja Barceló Group. V sklepnem delu diplomskega dela smo se osredotočili na dejansko izpolnitev predpostavke in pomen celotnega modela oziroma predloga postopka za holding Istrabenz, d. d. in na podlagi projekcije prikaza donosnega poslovanja hotela Palace v okviru novega upravitelja Barceló Group potrdili tezo, ki smo si jo zadali na začetku diplomskega dela.

Title:	PROPOSAL FOR BUSINESS AMENDMENT OF HOTEL PALACE PORTOROŽ: MANAGEMENT CONTRACT WITH COMPANY BARCELÓ
Abstract:	In the introduction part, we defined the problem of over-indebtedness of the holding Istrabenz. d. d., and the sale of its property Hotel Kempinski Palace, which was the focus of the thesis. Furthermore, the purpose and objectives were identified, and the basic assumption, which we were trying to prove through the paper. In the second theoretical part of the thesis, we presented in detail the Management Agreement and its characteristics, parameters and process of its execution between the hotel owner and the future manager. In the third section, we presented the basic information about the holding company Istrabenz d. d., and, based on publicly available financial data we showed its indebtedness. We focused on basic information about the hotel Kempinski Palace to show how indebtedness of Istrabenz d. d. impacts its subsidiary company Istrabenz Tourism d. d. In the fourth chapter, we presented the Spanish tourism company Barceló Group as a possible new manager of the Hotel Kempinski Palace. We listed some basic information about the Barceló Group, which is essential to understand the importance of this company, and some examples of the successful taking over in Management. In the fifth chapter, we firstly identified the reasons why Barceló Group might a be more appropriate administrator of Hotel Kempinski Palace than the present one. Then, SWOT analysis of the company hotel management was done, and in the end we presented the proposal of the taking over procedure of the Hotel Palace by the Barceló Group management. In the final part of the thesis we focused on the actual fulfilment of assumptions and significance of the entire model and presented the proposal of the process for the holding Istrabenz d. d. respectively. Finally, on the basis of the projection data of the possible lucrative business operation of the Hotel Palace under the new manager Barceló, we confirmed the assumption set at the beginning of the thesis.
