Title:SREDIŠČE DOLŽNIKOVIH GLAVNIH INTERESOV PO UREDBI SVETA (ES) 1346/2000

Abstract:Vedno večja globalna povezanost olajšuje in pospešuje tako širitev pravnih oseb na tuje trge in njihovo poslovanje s tujimi pravnimi subjekti, kot tudi omogoča, da fizične osebe pri delu in preživljanju prostega časa niso več vezane samo na kraj (oziroma državo), v katerem bivajo. Globalne soodvisen pa tako postane tudi poslovni neuspeh in posledice le - tega. Vsaka država članica ima svoja pravna pravila za postopke zaradi insolventnosti, ki pa se med seboj močno razlikujejo. Ker pa ima postopek zaradi insolventnosti direktne posledice na delovanje notranjega trga, je Svet (ES) sprejel Uredbo 1346/2000 o postopkih zaradi insolventnosti z mednarodnim elementom, ki je stopila v veljavo dne 31. maja 2002. Namen Uredbe je vzpostavitev splošnega okvirja za postopke zaradi insolventnosti, ki ureja sodno pristojnost, merodajno pravo in priznanje postopkov v drugih državah članicah. Uredba podeljuje pristojnost za vodenje glavnega postopka sodiščem države članice, v kateri se nahaja središče dolžnikovih glavnih interesov - kraj rednega poslovanja dolžnika, ki je preverljiv za tretje osebe, saj naj bi s tem krajem dolžnik imel najmočnejšo povezavo. Navkljub navidez jasni definiciji pa se je v letih uporabe pokazalo, da aplikacija v konkretnih primerih ni tako enostavna in preprosta. Tako je pojem središča dolžnikovih glavnih interesov, navkljub velikemu pomenu, ena izmed največjih pomanjkljivost Uredbe. K interpretaciji središča dolžnikovih glavnih interesov so zaenkrat pripomogla Sodišče Evropske Unije in nacionalna sodišča držav članic. Ravno odločbe nacionalnih sodišč pa po eni strani predstavljajo največjo težavo, saj ravno tu prihaja do največjih razlik pri razlagi relevantnih dejstev. Diplomsko delo, predvsem skozi pregled sodne prakse, opozarja na razhajanja od enotne razlage pojma središča dolžnikovih glavnih interesov, tako pri pravnih kot tudi pri fizičnih osebah. Sprejem Predloga o spremembi Uredbe, ki ga je pripravila Komisija, je tako nujno potreben za zagotovitev pravne varnosti in predvidljivosti ter da Uredba doseže svoj cilj.

Title:CENTRE OF DEBTOR'S MAIN INTERESTS UNDER THE COUNCIL REGULATION 1346/2000
Abstract:Increasing global connectivity facilitates and accelerates the expansion of legal persons to foreign markets and their business dealings with foreign entities and at the same time also provides, that natural persons are no longer tied exclusively to the place (or country) in which they live in regard to work and leisure time. That also means, that business failures and its subsequent consequences are also felt globally. Legal rules governing insolvency proceedings differs greatly from one member state to another. However, since the insolvency proceedings have direct effects on the proper functioning of the internal market, the Council adopted Regulation EC 1346/2000 on insolvency proceedings, which came into force on 31 May 2002. The purpose of the regulation is to establish a general framework for insolvency proceedings governing jurisdiction, recognition and applicable law. Regulation confers jurisdiction to open insolvency proceedings to the courts of the Member State within the territory of which the centre of a debtor’s main interests is situated - the place where the debtor conducts the administration of his interests on a regular basis and is therefore ascertainable by third parties, since this place has the strongest connection with the debtor. However, over the years it became clear, that despite the seemingly clear definition, its application in specific cases is not so easy and simple. Thus, the concept of center of main interests, despite its immense importance, is one of the biggest shortcoming of the Regulation. European Court of Justice and national courts of Member States have thus far greatly contributed to the interpretation of the centre of debtor`s main interests. However, problems arise precisely from decisions of national courts, as this is also where there is the greatest difference in the interpretation of the relevant facts. The thesis, mainly through the review of case law, points out the deviation from uniform interpretation of the concept of center of main interests, in regard of legal and natural persons. Adoptation of amendments, proposed by the Commission, is necessary to ensure legal certainty and predictability, and to ensure that the regulation achieves its objective.
