Title:Pridobivanje lastnih delnic po slovenski in angleški zakonodaji

Abstract:Diplomsko delo »Pridobivanje lastnih delnic po slovenski in angleški zakonodaji« primerja ureditev dveh pravnih redov na področju pridobivanja lastnih delnic. V prvih poglavjih je na kratko predstavljena problematika lastnih delnic, razlogi, iz katerih se delniške družbe odločajo za njihovo pridobivanje, ter pravni viri, ki so pomembni za obravnavano temo. V nadaljevanju je predstavljena načelna prepoved pridobivanja lastnih delnic v obeh pravnih redih, izjeme od te prepovedi, pa tudi dodatni pogoji, ki morajo za dopustno pridobitev lastnih delnic biti izpolnjeni poleg izjem. Opisani so posli, s katerimi delniške družbe izigravajo prepoved pridobivanja lastnih delnic in pravna ureditev teh poslov v obeh državah. V zadnjem poglavju so predstavljene posledice pridobitve lastnih delnic, ki se razlikujejo glede na to, ali so bile lastne delnice pridobljene na dopusten ali nedopusten način. V zaključku je podana sklepna primerjava področja pridobivanja lastnih delnic v obeh pravnih redih. Ker tako angleška kot slovenska zakonodaja o pridobivanju lastnih delnic temelji na direktivi 2012/30/EU, je v posameznih poglavjih najprej na kratko predstavljena ureditev direktive, sledi ji ureditev v slovenskem, tej pa ureditev v angleškem pravu.

Title:Acquisition of own shares in the Slovenian and UK legislation
Abstract:The thesis entitled "Acquisition of own shares in the Slovenian and UK the legislation" is comparing two legislations in the field of own shares acquisition. The first chapters are a short presentation of the own shares acquisition problem, the reasons why companies decide to acquire them and the legal sources in the mentioned topic. Further on the principled prohibition against own share acquisitions in both legislations is presented, exceptions in this prohibition and additional conditions that have to be fulfilled in the acquiring of own shares besides the exceptions. Some transactions are described where companies are manoeuvring the prohibition of own shares acquisition and the regulation of those transactions in both countries. In the last chapter the consequences of "acquiring own shares" which defer according to the way they were acquired, admissible or inadmissible, are described. In the completion of the dissertation the concluding comparison of acquiring own shares in both legislations is described. Both, the Slovenian and the English law in acquiring of own shares base on the 2012/30/EU directive. Therefore a short presentation of the arrangement in the directive is described in each chapter which is followed by the arrangement in the Slovenian and in the English law.
