Title:Komparativna analiza ureditve plačilne sposobnosti ter postopkov prestrukturiranja in prenehanja gospodarskih družb : magistrsko delo

Abstract:Številne slovenske gospodarske družbe so se znašle v krizi, ki je nekatere privedla do konca. Za preživetje ter nadaljnje poslovanje je bistvenega pomena zagotovitev plačilne sposobnosti. Plačilna sposobnost je položaj, za katerega si mora gospodarska družba ves čas delovanja prizadevati, kar pa številnim ne uspe. Razlogi za nastanek finančnih kot tudi drugih težav so različni, najbolj pomembno pa je, da poslovodstvo težave pravočasno ugotovi ter pripravi predloge za rešitev nastale situacije. Za reševanje finančnih težav se lahko izvede finančno prestrukturiranje, ki zajema ukrepe za zagotavljanje kratkoročne in dolgoročne plačilne sposobnosti. Lahko rečemo, da je finančno prestrukturiranje zadnja možnost preživetja družbe, preden pride do stečajnega postopka, katerega pa označimo za konec obstoja gospodarske družbe. V magistrskem delu je obravnavan Zakon o finančnem poslovanju, postopkih zaradi insolventnosti in prisilnem prenehanju (ZFPPIPP), ki ureja področje plačilne sposobnosti, na novo uveden institut finančnega prestrukturiranja in insolvenčne postopke ter postopke prisilnega prenehanja. Obravnavan je pojem plačilne sposobnosti kot tudi zakonodajna ureditev posameznih postopkov (stečajni postopek, postopek prisilne poravnave, likvidacija itd.), katero smo primerjali z zakonodajo Nemčije ter Velike Britanije. Državi sta bili izbrani zaradi različnih pravnih sistemov. Glede na dejstvo, da sta tako Slovenija kot tudi Nemčija predstavnici kontinentalnega pravnega sistema ter da se slovenska insolvenčna ureditev ravna po nemški, smo predvidevali, da je insolvenčna ureditev obeh držav primerljiva. Ugotovljeno je, da omenjeno velja, obstajajo samo manjša odstopanja v določenih elementih.

Title:A comparative analysis of the solvency regulation, financial restructuring and dissolution of companies
Abstract:Several Slovenian companies have found themselves in crisis, which has led them to an end. In order to survive and continue its business, it is essential to ensure solvency. Solvency is the position in which every company should be. Reasons for the emergence of financial and other problems are different, but most important is that the management solves problems in time and prepares proposals for the solution of the situation. Financial restructuring can be used to solve the financial problems and includes measures to provide short-term and long-term solvency. We can say that the financial restructuring is last chance of survival of the company, before it comes to bankruptcy, which could mark the end of company existence. The thesis is dealt with ZFPPIPP which regulates the area of solvency, the newly established institute of financial restructuring and insolvency proceedings and compulsory dissolution. We discussed the concept of solvency as well as the legislative regulation of specific procedures (bankruptcy proceedings, compulsory settlement, liquidation, etc.), which were compared with the laws of Germany and Great Britain. The countries were chosen because of their different legal systems. It was found that both the Republic of Slovenia and Germany represent the continental legal system. Consequently the insolvency legislation is similar as well as single bankruptcy proceedings and compulsory settlement proceedings, which is part of the financial restructuring.
