Title:Pravni položaj zastopnika za Slovenijo s sedežem v Avstriji

Abstract:V magistrski nalogi smo preverjali položaj slovenskega zastopnika in distributerja v primerjavi s tujimi grosisti na slovenskem ekološkem tržišču. Zanimalo nas je, kako evropska zakonodaja, ki ureja prost pretok blaga brez notranjih meja in varstvo konkurence, vpliva na izhodišča konkurenčnosti, kakšen vpliv ima pri tem slovenska nacionalna zakonodaja ter vidik vpliva proizvajalcev na konkurenčen proces. Za naš predmet raziskave smo preučili konkurenčno pravo. Raziskovali smo pogodbeno pravo, ki ureja razmerje med proizvajalcem ter slovenskim zastopnikom in distributerjem. Zanimalo nas je slovensko širše zunanje poslovno okolje v smislu pravnega in ekonomskega v primerjavi z avstrijskim in nemškim kot tudi pomen sedeža podjetja na izhodišča konkurenčnosti. Pri raziskavi izhodišč konkurenčnosti med Slovenijo, Avstrijo in Nemčijo smo si pomagali z raziskavo Svetovnega gospodarskega foruma (v nadaljevanju WEF). Na podlagi globalnega indeksa konkurenčnosti je razvidno, da je Slovenija izmed vseh treh držav najmanj konkurenčna, še posebej pa je nekonkurenčna z vidika finančnega trga in dostopnosti do kreditov. V teoretičnem delu magistrske naloge smo pregledali relevantno literaturo s področja raziskave, katere izsledke smo nato uporabili za primerjavo teorije s prakso. V empiričnem delu magistrske raziskave smo s kvalitativno analizo oblikovali paradigmatski model, s katerim smo s pomočjo raziskovalnih vprašanj določili soodvisne spremenljivke. Nato smo s kvalitativno metodo študije primerov raziskali zastopnika in distributerja ter z metodo opazovanja zbrali kvalitativne podatke. Z metodo utemeljitvene analize smo analizirali in interpretirali kvalitativne podatke ter oblikovali sklepe, ki so nam služili za preverjanje hipotez. Ugotovili smo, da se proizvajalci pri internacionalizaciji odločijo za zastopnika in distributerja zaradi manjših stroškov, nepoznavanja tržišča ter manjšega rizika. Po drugi strani pa ne naredijo nič, da bi zaščitili zastopnika in njegove finančne vložke v razvoj trga za njihove blagovne znamke, pač pa z izgovarjanjem na konkurenčno pravo dopuščajo škodljive poslovne prakse ter nelojalno konkurenco, na podlagi katere imajo tuji grosisti prevladujoč položaj. Ugotovili smo, da slovenska nacionalna zakonodaja dela razlike v smislu konkurenčnih izhodišč, saj tujim grosistom pri veleprodaji ni potrebno deklarirati proizvodov in imajo zato posledično nižje cene, ker nimajo vložka v komunikacijski splet in ne opravljajo svetovalne funkcije. Prav tako pogodbeno pravo ne ureja razmerja med proizvajalcem ter zastopnikom in distributerjem, ki bi zaščitilo slednjega kot šibkejšo stranko v smislu zaščite njegovih finančnih vložkov v marketinški splet. Evropsko konkurenčno pravo z dopuščanjem pasivne prodaje, ob tem, da proizvajalci ne ščitijo finančnih vložkov zastopnika in ustvarjajo nelojalno konkurenco ter s tem različna izhodišča konkurenčnosti, vzpostavlja na ta način nekonkurenčno okolje, kar je v nasprotju s cilji Evropske komisije pri prostem pretoku blaga. Rezultati raziskave služijo k oblikovanju izenačenja izhodišč konkurenčnosti med slovenskimi zastopniki in distributerji ter tujimi grosisti. Na koncu magistrskega dela so predlogi, s pomočjo katerih lahko zaščitimo konkurenčni proces na slovenskem ekološkem tržišču, kar je tudi cilj Evropske komisije pri prostem pretoku blaga.

Title:The legal position of the representative for Slovenia established in Austria
Abstract:The MBA thesis titled “The legal position of the representative for Slovenia established in Austria” examines the position of the Slovenian representative (agent) and distributor compared with foreign wholesalers in the Slovenian organic market. It studies the impact of the EU law regulating the free movement of goods and competition protection on competitiveness, the role of Slovenian legislation therein, and the producers’ influence on the competitive process. The subject of research was studied based on competition law and contract law regulating the relation between the producer and the Slovenian agent and distributor. We were particularly interested in Slovenia’s wider foreign business environment in legal and economic terms compared with the Austrian and German environments, as well as in the impact of the location of the registered seat on the company’s competitive position. In analysing competitiveness between Slovenia, Austria and Germany, we relied on the study carried out by the World Economic Forum. The global competitiveness index reveals that among the said three, Slovenia is the least competitive country, particularly in terms of financial market and loan accessibility. The theoretical part of the thesis presents and examines the literature relevant for the area of research, the results of which were used to compare theory and practice. In the empirical part, we applied a qualitative analysis to formulate a paradigmatic model that served us to define interdependent variables by means of research questions. Then, we applied the qualitative method of case study to analyse the agent and distributor, and the observation method to gather qualitative data. The grounded analysis method served us to analyse and interpret qualitative data and formulate decisions to test the hypotheses. We noted that in the process of internationalisation, producers opt for the agent and distributor because of lower costs, lack of market knowledge and smaller risk. On the other hand, they do nothing to protect the agent and its financial input in the development of the market for their trademarks. More so, on the pretext of competition law, they allow harmful commercial practices and unfair competition, based on which foreign wholesalers acquire a dominant position. We noted that the Slovenian national legislation tolerates differences in competitive position since foreign wholesalers do not need any product declarations and can sell on lower prices since they do not need to invest in the marketing communication mix and do not deliver consultation services. Likewise, contract law does not regulate the relation between the producer and the agent and distributor that would protect the latter as the weaker party in the sense of protection of its financial inputs in the marketing mix. More so, European competition law – by allowing passive sales and considering that producers do not protect the agent’s financial inputs and thus allow unfair competition and differing competitive positions, establishes a non-competitive environment in the Slovenian organic market, which is contrary to the goals of the European Commission as regards the free movement of goods. The results of the research serve to balance the competitive positions between Slovenian agents and distributors and foreign wholesalers. The thesis ends with the proposals to protect the competitive process in the Slovenian organic market, which is also the aim of the European Commission.
