Title:OUTSOURCING IN SPREMEMBA DELODAJALCA

Abstract:Magistrsko delo z naslovom "Outsourcing in sprememba delodajalca" obravnava uporabo instituta spremembe delodajalca v primerih outsourcinga, tj. pri prepustitvi opravljanja določenih, praviloma stranskih dejavnosti zunanjim izvajalcem. Posebna pozornost je posvečena spremembi delodajalca v primerih outsourcinga dejavnosti, ki temeljijo predvsem na delavcih (npr. outsourcing dejavnosti čiščenja). Prvi del magistrskega dela se osredotoča na vsebinsko opredelitev pojma outsourcinga in instituta spremembe delodajalca, nato pa je podana in pojasnjena pozitivna zakonodaja Evropske Unije in Republike Slovenije, ki ureja institut spremembe delodajalca. Osrednji del magistrskega dela je namenjen predstavitvi sodnih odločb Sodišča EU in slovenskih sodišč v primerih prenosa dejavnosti, ki temeljijo na delavcih (tj. pri prenosu storitev), ter pogojev, ki morajo biti izpolnjeni, da v konkretnem primeru pride do prenosa v smislu Direktive 2001/23/ES. V zadnjem delu je izpostavljena problematika v zvezi z ustreznostjo pravne ureditve Direktive 2001/23/ES v primeru prenosa storitev, kot primer dobre pravne ureditve instituta spremembe delodajalca oziroma varstva delavcev v primeru outsourcinga, ki bi lahko bila zgled tako slovenski kot tudi evropski ureditvi, pa so navedena britanska pravila TUPE.

Title:OUTSOURCING AND TRANSFER OF THE UNDERTAKING
Abstract:This master’s degree thesis titled "Outsourcing and the transfer of the undertaking" examines the use of the institute transfer of the undertaking in the cases of outsourcing, this applies in cases where employer decides to contract-out some of his none-core business to outside contractors. Special attention is dedicated to the transfer of the undertaking in the cases of service provision changes that are mainly based on labourers (cleaning services, for example). The first part of the thesis focuses on the basic definitions of the outsourcing and on the institute of the transfer of the undertaking. In addition, the positive EU legislation and Slovenian legislation of the institute of the transfer of the undertaking are presented. The core part of the thesis presents case law by the European Court of Justice and Slovenian courts concerning the transfers of activities that are based on labourers (at service provision changes), and conditions that need to be satisfied in certain cases, so that the transfer is congruent with the Council Directive 2001/23/EC. The last section of the thesis points out the problems and dilemmas regarding the adequacy of legal regulation of the Council Directive 2001/23/EC in the case of service provision changes. As an illustration of a good regulation of the institute transfer of the undertaking and especially of the protection of employees in the case of outsourcing British TUPE rules are cited. They might become a model to follow by both Slovenian and European legislation.
