Title:PRAVNA UREDITEV NIČNOSTI VOLITEV NADZORNEGA SVETA V SLOVENSKEM IN GERMANSKEM PRAVU

Abstract:Kakšen bo sistem upravljanja, je odvisno od izbire vsake posamezne države. ZDA in Velika Britanija sta državi, ki imata enotirni sistem upravljanja, Nemčija pa ima dvotirni sistem upravljanja. Dvotirni sistem upravljanja je bistveno drugačen od enotirnega, saj so naloge razdeljene med dva organa. Slovenska korporacijska zakonodaja omogoča enotirni in dvotirni sistem, pri čemer je dvotirni prevzet od Nemčije. Dvotirni sistem vsebuje dva organa, pri čemer je en izmed teh dveh organov nadzorni svet. Določbe, ki urejajo nadzorni svet, ima slovenska pravna ureditev v Zakonu o gospodarskih družbah (ZGD-1). Nemška pravna ureditev ima določbe glede nadzornega sveta zapisane v Aktiengesetzu (AktG). Poleg teh dveh temeljnih zakonov so tako v slovenski kot nemški pravni ureditvi tudi drugi specialni zakoni, ki urejajo delovanje nadzornega sveta in dopolnjujejo ZGD-1 in AktG. Državi s svojimi predpisi določata, katere pogoje mora izpolnjevati oseba za nastop funkcije člana nadzornega sveta in nastop katerih pomeni nemožnost delovanja v nadzornem svetu. Slovenija in Nemčija zakonsko omejujeta velikost organa in določata, da imajo v nadzornem svetu svoje predstavnike tako delničarji kot delavci. Predstavniki delavcev, so v Nemčiji urejeni v Zakonu o sodelovanju delavcev pri soodločanju, v Zakonu o soodločanju v industriji premoga, železa in jekla in v Zakonu o tretjinski udeležbi delavcev pri soodločanju. V pravu sta dve obliki neveljavnosti pravnih poslov. Prva oblika neveljavnosti je ničnost, katera predstavlja absolutno neveljavnost in druga oblika neveljavnosti je izpodbojnost, katera predstavlja relativno neveljavnost. Ničnost je v korporacijski zakonodaji urejena drugače kot v civilnem pravu, saj civilno pravo določa pravila za pravne in fizične osebe, korporacijsko pravo pa za sklepe skupščine. Skupščina pri svojem delovanju odloča s sklepi, kateri lahko zaradi zakonsko določenih razlogov postanejo nični. V korporacijskem pravu so splošni ničnostni razlogi navedeni v 390. členu ZGD-1. Ničnost volitev članov nadzornega sveta pa so posebni ničnostni razlogi, ki so v Sloveniji urejeni v 392. členu ZGD-1. Nemčija ima temeljne določbe o ničnosti volitev predpisane v 250. paragrafu AktG, ki se mu pridružita še 251. paragraf AktG in 252. paragraf AktG ter tako tvorijo smiselno celoto. Za razliko od nemške pravne ureditve slovenska, ne določa ničesar glede izpodbijanja volitev. Slovenija določa kot aktivno legitimiranega za vložitev tožbe na ugotovitev ničnosti vsakogar, ki ima interes, medtem ko ima Nemčija taksativno naštete upravičence.

Title:LEGAL REGULATION OF INVALIDITY OF THE ELECTION OF THE SUPERVISORY BOARD IN SLOVENIAN AND GERMANIC LAW
Abstract:Management system depends on the choice of each individual country. USA and Great Britain are two countries, which have a one-tier management system, Germany, has a two-tier management system. The two-tier management system is significantly different from a single-tier, as the tasks, are divided between two bodies. Slovenian corporate law allows a one-tier and two-tier system, with the two-tier adopted from Germany. The two-tier system has two bodies, where one of the bodies is Supervisory Board. The provisions governing the Supervisory Board, has Slovenia in the Companies Act (ZGD-1). The German legal system has provisions regarding the Supervisory Board contained in the Aktiengesetz (AktG). In addition to these two fundamental laws there are in Slovenia and in Germany other special laws which regulate the functioning of the Supervisory Board and are complementing, ZGD-1 and AktG. Countries with its regulations are laying down the conditions, which must be satisfied, by the person, if they want to be members of the Supervisory Board and the conditions, which are leading, to the impossibility of membership in the Supervisory Board. Slovenian and German legal systems are limiting the size of the body, and are determining that the Supervisory Board is representing shareholders and workers. The workers 'representatives in Germany are regulated by the Co-determination Act, the Coal and Steel Co-determination Act and by the One-Third Co-determination Act. In law, there are two forms of invalidity of the transaction. The first form of invalidity is nullity, which represents an absolute ineffectiveness, and other form of invalidity is contestability, which represents, the relative ineffectiveness. Nullity in corporate law is regulated differently than in civil law, since civil law, lays down rules on natural and legal persons, and corporate law, regulates decisions of the Assembly. The Assembly is deciding in its operations with the conclusions, which may due to law become null and void. In corporate law are general grounds for annulment, regulated in article 390. ZGD-1. Nullity of the election of Supervisory Board members is special ground for annulment, which is regulated in Slovenia in article 392. ZGD-1. Germany has the basic provisions concerning the invalidity of elections prescribed in paragraph 250 AktG, which is forming with paragraph 251. AktG and 252. paragraph AktG a coherent whole. Unlike the German legal system, Slovenian legal system does not specify anything about contesting elections. Slovenia sets as an active standing, to bring an action for annulment, anyone, who has an interest while Germany has exhaustively listed beneficiaries.
