Title:PRIMERJAVA REFORM V RAZVOJU PRAVA DRUŽBE Z OMEJENO ODGOVORNOSTJO MED NEMČIJO, FRANCIJO, ITALJO, VELIKO BRITANIJO IN SLOVENIJO

Abstract:Začetki oblike družbe z omejeno odgovornostjo se pojavijo že leta 1892. Ustanovitelji se v veliki meri odločajo za to obliko in je tako najpogostejša oblika družbe v večini evropskih držav. Z naraščanjem pogostosti teh družb se veča tudi pomembnost dobro urejenih pravnih podlag s katerimi so urejene. Pravni okviri za delovanje družb morajo biti jasno določeni, da se odpravi pravna negotovost. V Nemčiji, Franciji, Italiji in Veliki Britaniji so pravne negotovosti in težave, ki so se pojavljale v praksi z reformami ustrezno odpravili. Z reformami so želeli poenostaviti ustanovitev družb, odpraviti težave in pravne negotovosti, omejiti nevarnosti, povečati število družb, pospešiti njihov razvoj, jih modernizirati, ter spodbujati podjetništvo. S smiselnimi spremembami so dodatno uredili razna področja prava, ter tako dosegli zastavljene cilje. Po predstavitvi praks, ki se pojavijo v proučevanih državah, v nalogi prikažem spremembe, ki so se v državah zgodile. Med raziskavo sem opazila tako podobnosti kot razlike med državami. Te ugotovitve so bile podlaga za končno mnenje ali so imele spremembe pozitivne ali negativne posledice, ter katere izmed njih bi bilo smiselno uvesti v Sloveniji. Podjetniki se na reforme pozitivno odzovejo, kar se kaže v velikem številu novoustanovljenih družb. Družbe so uspešno modernizirane in tako lahko dobro poslujejo v sodobnem svetu.

Title:COMPARISON OF REFORMS IN THE DEVELOPING LAW OF A LIMITED LIABILITY COMPANY BETWEEN GERMANY, FRANCE, ITALY, GREAT BRITAIN AND SLOVENIA
Abstract:Beginnings of the form of limited liability companies occur as early as 1892. Founders largely prefer this form, so it is the most common form of company in most European countries. The increasing frequency of these companies also increases the importance of a well-regulated legal bases. The legal framework for companies should be clearly defined in order to eliminate legal uncertainty. In Germany, France, Italy and the UK legal uncertainties and difficulties encountered in practice were properly addressed with reforms. With reforms, they wanted to simplify the creation of companies, to eliminate problems and legal uncertainties, limit risks, increase the number of companies, accelerate their development, modernize them and generally encourage entrepreneurship. With meaningful changes they additionally regulated various fields of law and achieved their objectives. After the presentation of practices that occur in the studied countries I show the changes that have occured in the countries. During the research I noticed similarities and differences between countries. These findings were the basis for a final opinion on whether the changes have positive or negative consequences and which of these consequences would be appropriate to introduce in Slovenia. Entrepreneurs respond positively to the reforms, which is reflected in the large number of newly established companies. Companies are successfully modernized and well operated in the modern world.
