Title:Delavski direktor v sistemu sodelovanja delavcev pri upravljanju - enakopraven član poslovodstva družbe ali zastopnik interesa delavcev?

Abstract:V magistrski nalogi se osredotočamo na prikaz ureditve instituta delavskega direktorja, kot je kodificiran v slovenski zakonodaji. Njegova vloga iz določbe zakona o sodelovanju delavcev pri upravljanju, po kateri v okviru splošnih pravic in obveznosti, ki pripadajo vsem članom uprave družbe ali izvršnim direktorjem družbe v skladu s posebnim zakonom in statutom družbe, delavski direktor ali predstavnik delavcev med izvršnimi direktorji družbe zastopa in predstavlja interese delavcev glede kadrovskih in socialnih vprašanj, v teoriji in praksi namreč ni dorečena. Nekateri pojmujejo delavskega direktorja po slovenski zakonodaji kot enakopravnega člana poslovodstva družbe, zadolženega za kadrovsko področje, drugi pa zgolj kot predstavnika delavcev v upravi družbe, ki zastopa in predstavlja interese delavcev in sodeluje le v kolektivnih odločitvah uprave. V nalogi ugotavljamo, da so ureditve predstavnikov delavcev v organih družb v državah Evropske unije zelo različno, kar otežuje harmonizacijo zakonodaje na tem področju, k čemur sicer EU teži. S primerjavo zakonodaj članic EU ugotovimo, da se pojavljata zlasti dve obliki delavskega direktorja; kadrovski direktor, na katerega imenovanje imajo vpliv predstavniki delavcev preko svojih članov nadzornega sveta (kot je »Arbeitsdirektor« v Nemčiji) in delavski direktor, ki je predstavnik delavcev v upravnem odboru, kjer zastopa interese delavcev, ki jih predstavlja (kot je predvideno s švedsko zakonodajo). Kot ugotavljamo v magistrski nalogi, zakonodaja v Sloveniji predstavlja tretjo obliko instituta delavskega direktorja (sicer podobno nemški), kjer je le-ta imenovan na predlog delavcev, vendar pa ima izvršilne pristojnosti na kadrovskem področju, kar je zlasti vidno v ureditvi, ki velja za družbe z enotirnih sistemom upravljanja, v katerih je delavski direktor izvršni direktor. Ne glede na to pa se, kot ugotavljamo v raziskavi med slovenskimi delniškimi družbami, v statutih družb v Sloveniji izvršilna pristojnost delavskega direktorja posebej izključuje. Zato predlagamo spremembe zakonodaje, ki bi zagotavljala večjo jasnost določb v smeri definiranja delavskega direktorja kot kadrovskega direktorja ter skladno s tem tudi ureditev v statutih ter drugih aktih družbe.

Title:Workerr's s director - equal member of the management of the company or representative of the interests of workers?
Abstract:This master thesis is focused on the presentation of the regulation of the workers' director as codified in the Slovenian legislation. Its role as codified in the Worker Participation in Management Act, according to which in the context of the general rights and obligations that belong to all the members of the management board or the executive director of the company in accordance with the special law and the statutes, workers' director or workers' representative as the executive director of the company represents the interests of workers with regard to personnel and social issues, is in theory and practice disputable. Some regard workers' director as codified in Slovenian law as an equal member of the management of the company, especially in charge of human resources, while others regard him merely as a worker representative in the company who represents the interests of the workers and only participates in collective management decisions. We note in the thesis that codification of board level representation vary a lot among the Member states of the EU, making it difficult to harmonize legislation in this area. Comparison of the laws of the EU Member States shows that there are two typical forms of workers' director; Human resources Manager, on whose appointment workers' representatives have influence through its representatives in the Supervisory Board (like “Arbeitsdirektor” in Germany) and workers' representative in the Administrative Board, who represents the interests of workers he represents (as codified in Swedish legislation). As elaborated in the master's thesis, legislation in Slovenia is the third form of the institute of workers' director (similar to German), where workers' director is nominated by the workers, but it also has executive powers in the field of human resources. His executive power is particularly expressed in the regulation applicable to companies with one-tier management system, in which the workers' director is named executive director. Notwithstanding this the statutes of the companies in Slovenia exclude the executive competence of the workers' director as we analyse from the research made on this issue among Slovenian joint stock companies. Therefore we propose amendments to the legislation, which would provide greater clarity of provisions in the direction of defining workers' director as the Human resources Manager, and the arrangements in the statutes and other acts of the company accordingly.
