Abstract:Po celem svetu in prav tako tudi v Sloveniji vsak dan prihaja do prevzemov podjetij. Ti so zadnje čase bolj izpostavljeni javnosti kot nekoč. Prevzemi imajo v svetu že zelo dolgo zgodovino, zato jih je bilo potrebno tudi pravno urediti. ZDA imajo zvezno pravno ureditev, katero dopolnjujejo z ureditvijo v posameznih državah, članice Evropske unije pa so prevzemno zakonodajo prilagodile 13. Direktivi. V času gospodarske krize je prihajalo do vedno več prevzemov, zlasti do sovražnih. Ravno zato so se podjetja morala braniti pred sovražnimi prevzemi z obrambnimi mehanizmi. Poznamo preventivne in kurativne obrambne mehanizme, saj je uporaba le teh odvisna od tega, kdaj se obrambni mehanizem uporabi. Kurativni obrambni mehanizem beli vitez v ZDA uporabljajo že desetletja, v Evropi pa precej krajši čas. Čas uporabe belega viteza je odvisen od prevzemne zakonodaje v Sloveniji, Avstriji, Nemčiji in Švici, ki je nastala kasneje kot v ZDA. Prevzemi z belim vitezom so seveda pogostejši v ZDA kot v Evropi, saj imajo daljšo zgodovino uporabe in tudi geografsko so neprimerno večje od obravnavanih članic EU. Cilj magistrskega dela je bil predstaviti glavne oblike prevzemov, prevzemno zakonodajo v Sloveniji, EU in ZDA ter analizirati obrambni mehanizem beli vitez v omenjenih državah.

Title:INSTITUTE OF WHITE KNIGHT AS A DEFENCE MECHANISM BEFORE THE ACQUISITION - COMPARATIVE LEGAL PERSPECTIVE
Abstract:All around the world including Slovenia taking over a business is a daily thing. Recently they have become more exposed to public as they once used to be. Taking up a business has a very long history in the world, so it has become necessary to ensure legal framework for it. The USA have a federal regulation, which is complemented with the arrangements in each country. Members of the European Union have adopted transposing legislation to the 13th Directive. A period of economic crisis contributed to increased takeovers, mostly hostile. This is precisely why companies defend themselves against hostile takeovers with the defensive mechanisms. There are preventive and curative defensive mechanisms, because their usage depends on when they can be used. Curative defensive mechanism White Knight has been used for decades in the USA, but it is not long ago since we have it here in Europe. Time of use of the White knight depends on transporting legislation in Slovenia, Austria, Germany and Switzerland, which arose later than in the USA. Takeovers with the White Knight are more increasingly common in the USA than in Europe, because of their history of use and also because they are geographically bigger than already mentioned European member countries. The aim of the Master thesis was to present main forms of takeovers, transposing legislation of Slovenia, EU and the USA. We also analysed defensive mechanism White Knight in the mentioned countries.
