Abstract:Korporativno upravljanje so odnosi med imetniki deležev, poslovodnim in nadzornim organom in drugimi deležniki. Države, stroka in tudi gospodarske družbe vidijo v korporativnem upravljanju dodano vrednost, ki pripomore k boljšemu, učinkovitejšemu in bolj preglednejšemu poslovanju. Korporativno upravljanje je zelo pomembno tudi za družinska podjetja.Urejati mora namreč tudi zapletene odnose med samimi člani družine. S pregledom zakonskega okvira in avtonomnih pravnih aktov ter študijo primera v zaključku predlagam model upravljanja za družinsko podjetje, ki sem ga analiziral. Bistvena ugotovitev je, da je treba jasno opredeliti odgovornosti posameznika ter predvsem zelo jasno razmejiti vlogo imetnika deleža in vlogo poslovodje ali člana organa nadzora.

Title:CORPORATE GOVERNANCE IN FAMILY BUSINESS WITH SUGGESTED PRINCIPLES OF GOVERNANCE BASED ON CASE STUDY
Abstract:Corporate governance fosters a relationship between owners, the management and the supervisory body, and other stakeholders. The state, professional associations and companies see corporate governance as an added value which contributes to better, more efficient and more transparent management. For family businesses it is even more important as it has to manage intricate relationships among family members. By studying the regulatory framework and autonomous legal acts, together with the case study I have undertaken, I put forward a specific proposal for a governance model for the family business in question. The main conclusion is that the responsibilities of an individual have to be clearly defined and that, in particular, the role of the owners and the role of the manager or the member of the supervisory body have to be clearly delineated.
