Title:ZAKONSKE OMEJITVE UPRAVIČENJ ZAKONITIH ZASTOPNIKOV IN NJIHOVI UČINKI NA PRAVNE POSLE

Abstract:Zakoniti zastopniki so osebe, katerih upravičenje za zastopanje temelji neposredno na podlagi zakona ali drugega pravnega akta v skladu z zakonom. Slednji so tudi korporacijski zastopniki, ki so nujen organ pravne osebe, kajti same kot umetne tvorbe ne morejo na enak način kot fizične osebe izjavljati in oblikovati volje, iz česa izhaja, da so poslovno sposobne samo po svojih organih. Voljo pravne osebe tako v pravnem prometu oblikujejo in izjavljajo njeni korporacijski zastopniki. Upravičenja za zastopanje korporacijskih zastopnikov načeloma ne morejo biti omejena in lahko samostojno opravljajo vsa pravna dejanja, ki spadajo v pravno sposobnost pravne osebe prav tako pa posamezne notranje (oz. statutarne) omejitve upravičenj ne posegajo v pravne učinke poslov s tretjimi osebami. Obstajajo pa primeri kadar zakon, ki ureja gospodarske subjekte, kot tudi posamezna področna zakonodaja (npr. Zakon o zavodih), s posameznimi določbami izrecno omejujejo njihova upravičenja (t.i. zakonske omejitve), s tem, da njihove odločitve vežejo na soglasje drugih organov. Neupoštevanje teh omejitev s strani korporacijskih zastopnikov ima učinke ne samo v notranjem razmerju med posameznimi organi pravne osebe, temveč posega tudi v zunanjo razmerje oz. razmerje s tretjimi osebami. Iz tega sledi, da lahko takšne pravne posle, ki jih je korporacijski zastopnik sklenil s tretjimi, zaradi neupoštevanja oz. kršitve zakonskih omejitev, zadenejo sankcije neveljavnosti ali neučinkovitosti.

Title:LEGAL LIMITATIONS OF LEGAL REPRESENTATIVES POWERS AND THEIR EFFECTS ON LEGAL TRANSACTIONS
Abstract:Statutory/legal representatives are persons whose entitlement for representation is directly based on the basis of the law or another legal act in accordance with the law. Among there are also corporate representatives which are a requisite body of each legal entity. Legal entities as artificial arrangements cannot declare and form their will in the same way as natural persons can, this meaning that only their bodies possess business capacity. The will of a legal entity in legal transactions is therefore shaped and declared by their corporate representatives. The entitlements for the representation of corporate representatives in principle cannot be limited and they can independently carry out all legal acts that fall within the legal capacity of a legal entity. The individual internal (i.e. statutory) constraints for entitlement do not interfere with legal effects vis-à-vis third parties. However, there are cases when the law, which regulates business entities, as well as the legislation on insitutions, specifically limits their powers (so-called legal constraints) by binding their decisions on the concurrence of other bodies. If corporative representatives fail to comply with these constraints, this does not only have an effect on the internal relationship between individual bodies of a legal entity, but it also interferes in the external relationship (the relationship with third parties). As a result, legal transactions conducted by a corporate representative with third parties are sanctioned with invalidity or inefficiency if they fail to complay with or breach the law.
