Title:Vrnitev prepovedanih plačil v delniški družbi

Abstract:Delničarji morajo kot člani delniške družbe ob njeni ustanovitvi zagotoviti plačilo osnovnega vložka, ki tvori osnovni kapital delniške družbe. Osnovni kapital delniške družbe ima poleg določitve sorazmerne udeležbe delničarjev v delniški družbi in zagotovitve začetnega kapitala delniške družbe tudi funkcijo varstva upnikov. Zaradi razpršenosti članske strukture delničarjev je v delniški družbi bistvenega pomena, da se vse delničarje obravnava enako in da se jim zagotovi enako udeležbo pri bilančnem dobičku. Vsa ostala izplačila ali naklonitve delničarjem so prepovedana, saj se s tem zagotavlja tako varstvo upnikov kot preostalih delničarjev, ki prepovedanega plačila s strani delniške družbe niso prejeli. Pred prepovedanimi plačili delniške družbe delničarju jih varujeta institut prepovedi vračila vložka in poseben korporacijski zahtevek, s katerim družba, ter v njenem imenu manjšinski delničarji in upniki od delničarja, ki je prepovedano vračilo prejel v škodo delniške družbe, zahtevajo vrnitev prepovedanega plačila. V delu sta predstavljena instituta vrnitve prepovedanih plačil in prepovedi vračila vložka, ki sta jedro načela ohranitve kapitala delniške družbe. V zvezi z navedenimi instituti so predstavljeni tudi posebni položaji in sicer v koncernskem pravu, v primeru izbrisa družbe brez likvidacije, predstavljena pa je tudi primerjava s korporacijskim zahtevkom v družbi z omejeno odgovornostjo.

Title:Reimbursement of unjust payments in joint - stock company
Abstract:At establishment of a public limited company, the shareholders as its members have to provide an initial contribution which, together with initial contributions of other shareholders, makes up the share capital of the public limited company. In addition to determining the proportional share in the public limited company and ensuring its initial capital, the share capital also has the function of creditor protection. Due to the dispersed shareholder structure of a public limited company, it is of utmost importance to treat all shareholders equally, and to ensure equality in profit sharing. Any other disbursements or endowments to shareholders are prohibited, as this is important to protect creditors and other shareholders that have not received a prohibited disbursement from the public limited company. The shareholders are protected from prohibited disbursements from the public limited company to a shareholder through the institute of prohibition of initial contribution repayment and the special reimbursement claim with which the company, and on its behalf minority shareholders and creditors, request repayment of a prohibited disbursement from a shareholder that received it to the detriment of a public limited company. The thesis presents the institutes of repayment of prohibited disbursements and the prohibition of initial contribution repayments which are the core of the principle of initial capital preservation. Regarding the aforementioned institutes, special cases are presented in the case of corporate group law, in the case of company striking off without liquidation, and furthermore, comparison with a corporate claim in a limited liability company is provided.
