Title:SANKCIJE PRI DELNI IZPOLNITVI PRODAJNE POGODBE

Abstract:Za delno izpolnitev prodajne pogodbe gre, kadar je del pogodbenih obveznosti izpolnjen pravilno, del pa od dogovorjenega odstopa. Pri prodajni pogodbi po OZ pri tem veljajo posebnosti. Kupec mora delno izpolnitev sprejeti, razen če ima upravičen interes do celote. Splošno pravilo glede delne izpolnitve po drugi strani določa, da je odločilni element, ali izpolnjeni in neizpolnjeni del glede na namene pogodbe pomenita celoto. Kadar dela pomenita celoto namreč kupec od pogodbe lahko odstopi, v nasprotnem primeru pa lahko odstopi le od dela z napakami oz. neizpolnjenega dela in uveljavlja sankcije zgolj glede tega dela. Kot sankcije lahko kupec uveljavlja odškodnino, jamčevalne zahtevke, ki vključujejo tudi popravilo ter zamenjavo stvari; in znižanje kupnine. Pri tem je omejen z roki določenimi za notifikacijo napake. Količinskih napak OZ ne ureja, zato se uporabi analogija s Splošnimi uzancami za blagovni promet. Nekoliko drugačna je ureditev delne izpolnitve po DK, kjer lahko kupec od pogodbe odstopi zgolj v primeru, kadar ta predstavlja bistveno kršitev pogodbe. Kupec je tako v primeru bistvene kršitve, kot tudi v primeru ko bistvena kršitev ne obstoji, upravičen do uporabe pravnih sredstev, ki so določena v 46. do 50. členu DK. Razlika je le v tem, ali jih je mogoče uveljavljati glede celote, ali le dela z napakami. Kupčeve sankcije so v DK urejene podobno kot po OZ, a za njihovo uveljavljanje velja drugačna ureditev.

Title:REMEDIES IN THE CASE OF PARTIAL PERFORMANCE OF THE SALES CONTRACT
Abstract:Partial performance represents a situation in which a seller delivers only part of the goods or if only a part conforms to the contract. In the case of a sales contract under the Slovenian Obligation Code, some specific provisions apply. A buyer must accept partial performance except in cases where he or she has a legitimate interest for the whole performance. On the other hand, the general rule in the case of partial performance provides that the decisive criterion is whether parts can represent a whole, given the purpose of the contract. When they don’t constitute a whole, the buyer may declare the contract avoided; otherwise he or she could declare only part of the contract avoided and resort to other legal remedies available. A buyer may demand damages or remedies for non-conformity of the goods, including repair and replacement; moreover, a buyer could claim a price reduction. In this case, the buyer is limited by deadlines for notification. The Slovenian Obligation Code does not explicitly regulate defects in quantity; therefore, in such cases, we should use an analogy with Splošne uzance za blagovni promet, which represents codified commercial practice. The regime of CISG is slightly different. A buyer may declare a contract avoided only in the case of a fundamental breach of the whole contract. In such a case, the buyer could demand legal remedies from articles 46 – 50 of CISG. The only difference is the possibility to demand remedies for the whole or just part of the contract. The remedies are almost the same as in the Slovenian Obligation Code, but their enforcement includes some differences.
