Title:Posebnosti enoosebne družbe z omejeno odgovornostjo

Abstract:Družba z omejeno odgovornostjo z enim družbenikom (t. i. enoosebna družba) je družba, katere osnovni kapital je razdeljen na poslovne deleže. Bistvena značilnost enoosebne družbe je, da so vsi poslovni deleži v rokah ene osebe oz. skupnosti oseb ali pa so vsi poslovni deleži skupna lastnina več oseb. Enoosebna družba je v slovenskem pravnem redu predstavljena kot posebna oblika družbe z omejeno odgovornostjo, za katero veljajo posebna (lex specialis) pravna pravila. Za vsa druga vprašanja, ki jih posebna pravila ne urejajo, se uporabljajo splošne določbe zakona, ki veljajo za družbo z omejeno odgovornostjo z več družbeniki in tiste določbe, ki veljajo za vse gospodarske družbe. Edini družbenik enoosebne družbe z omejeno odgovornostjo se imenuje ustanovitelj, ki sprejme t. i. akt o ustanovitvi, ki je enostransko izražena volja ustanovitelja. Vsebina navedenega akta je smiselno enaka kot vsebina družbene pogodbe, s to razliko, da je vsebina akta o ustanovitvi bistveno krajša in enostavnejša. V primerjavi z družbo z omejeno odgovornostjo se za enoosebno družbo uporabljajo posebna pravila, ki se nanašajo na pravno naravo in ustanovitev s sprejemom akta o ustanovitvi, na zagotovitev varščine in na predložitev dokazila o varščini sodniku, v primeru, če osnovni vložek ni vplačan v celoti, veljavnost in sklepanje pravnih poslov in upravljanja enoosebne družbe. Zaradi izboljšanja okolja za mala in srednje velika podjetja, ki so zaradi svojih značilnosti posebej pomembna za razvoj in krepitev evropskega gospodarska, je Komisija Evropske unije predlagala novo alternativno nacionalno obliko družbe imenovano Societas Unius Personae (SUP), za katero bi veljala enotna pravila in bi delovala v skladu z ustaljenimi pravili v vseh državah članicah.

Title:Characteristic of single member limited liability companies
Abstract:Single member limited liability company (so-called one-man company) is a company which share capital is divided into business shares. The essential characteristic of single member company is that all the shares are in the hands of one person or communities of people or all the shares the common property of several persons. Single member company in the Slovenian legal order is presented as a special form of limited liability company and it is a subject to a special (lex specialis) legal rules. For all other questions which are not regulated by the provisions of the Act, there are general rules that apply to a limited liability company with two or more shareholders and those provisions that are applicable to all companies. The sole shareholder of a single-member limited liability company is called the founder. It adopts the so-called establishing act which is an expressed will of the founder. The content of that act is essentially the same as the content of the social contract, with the difference that the content of the establishing act is much shorter and more simplified. Compared to a “normal” limited liability company, the single-member company has some specific rules that apply on the legal nature and the creation of the establishment act, rules that apply on the bond to ensure security and provide proof of the bond in the case where the share capital is not paid in full, the validity of and concluding transactions and management of single-member company. To improve the environment for small and medium-sized enterprises which are by virtue of their characteristics very important for the development and strengthening of European economic, the EU Commission proposed a new alternative national company form called Societas Unius Personae (SUP) which would follow the same rules in all Member States and would act in accordance with established rules in all Member States.
