Title:Rewarding and remuneration of members of the management board
Abstract:The Supervisory Board has in determining the overall remuneration of individual members (salary, profit, reimbursement of expenses, other additional payments), ensure that the total income is commensurate with the responsibilities of board members and the financial situation of the company. Data and information on the remuneration and remuneration of board members is obtained from the annual reports of companies. Members of the Management Board shall, in the conduct of business to act with due diligence and to protect the trade secret of the company. Jointly and severally liable for the damage that has occurred as a result of violation of their duties, unless they can prove that they honestly and conscientiously fulfill their duties. From annual reports give clear what were the tasks and how the work was done by the members of the Board. Just reward and remuneration for Management Board members is important because it enables them to normal life and also affect the enthusiasm for the job. The company or the Supervisory Board may pay the increase or decrease indefinitely or may be withdrawn or added to the prize, but can lead only to the fact that the members will not have sufficient enthusiasm for the job. Therefore, it is best that the company and the Supervisory Board formed a plan. It depends above all of this in what the company ownership, ie whether they are themselves its owner or the owner of the country. For each ownership are subject to different legal restrictions and hence a problem of governance.
