Title:Avtonomija strank na področju nepogodbenih obveznosti

Abstract:Predmet diplomskega dela je načelo avtonomije volje v mednarodnem zasebnem pravu na področju nepogodbenih obveznosti. Samo načelo se je sprva razvilo na področju pogodbenih obligacij, kjer ima dolgo zgodovino, s sprejetjem načela avtonomije volje v Rim II, pa so stranke prvič dobile tudi možnost izbire prava na področju nepogodbenih obligacij. Diplomsko delo se osredotoča na ureditev omenjenega načela v Rim II, predvsem na izbiro prava in omejitve, ki jih morajo stranke spoštovati. Izbiro prava lahko stranke sklenejo po nastanku škodnega dogodka, stranke, ki opravljajo gospodarsko dejavnost pa tudi pred nastankom škodnega dogodka. Eno izmed vprašanj, na katerega se koncentrira diplomsko delo, je zaščita šibkejše stranke za ex ante dogovore. Omejitve, ki so določene v Členu 14(1)(b) sicer do neke mere ščitijo šibkejše stranke, vendar ta zaščita ni absolutna. V določenih primerih še vedno lahko prihaja do izkoriščanja šibkejše stranke, zato se pojavljajo kritike omenjenega dogovora v Rim II. Prav tako je v diplomskem delu analizirano razmerje med načelom avtonomije volje ter splošnim pravilom Rim II (člen 4). Avtorica ugotavlja, da odstopna klavzula, ki jo vsebuje člen 4(3), v določenih primerih omogoča strankam uporabo izbranega prava tudi v primerih, ko je bila izbira opravljena pred nastankom škodnega dogodka, za samo izbiro pa niso bile izpolnjene zahteve, ki jih določa člen 14. V zadnjem poglavju se diplomsko delo dotakne tudi vprašanja o možnosti izbira prava na področju nepogodbenih obligacij v slovenskem mednarodnem zasebnem pravu.

Title:Party Autonomy in Non - Contractual Obligations
Abstract:This thesis deals with party autonomy in non-contractual obligations of international private law. The principle itself was firstly developed in contractual obligations where it has a long history and with adoption of Rome II parties finally got an opportunity of choosing applicable law on the law applicable to non-contractual obligations. The scope of use of principle in Rome II is the main focus of this thesis but we will look more carefully on how the parties can choose the applicable law and limitations of the principle that the parties should respect. Parties can choose a law after the event giving rise to the damage occurs where all the parties are pursuing a commercial activity an agreement can be done also before the event giving rise to the damage occurred. One of the questions on which the thesis is focused on is protection of the weaker party of ex ante agreement. The restrictions which are set out in Article 14(1)(b) to the certain extend protect the weaker party but not effective enough. In some cases abuse of weaker parties may occur therefore Rome II is criticized by commentators. Thesis also analyses relation between principle of party autonomy and general rule of Rome II(Article 4). Author finds out that escape clause, which is part of Article 4(3), in some cases enables parties to use the chosen law if decision about law was made before damage occurred but all requests were not fulfilled by Article 14. In last chapter thesis talks about possibilities of choosing law in area of non-contractual obligation in Slovenian private international law.
