Abstract:	Ena od prvih in najpomembnejših odločitev posameznika na začetku podjetniške poti je, katero pravnoorganizacijsko obliko podjetja bo izbral. V praksi se posamezniki po večini odločajo med oblikama samostojni podjetnik in družba z omejeno odgovornostjo, zato bomo v magistrskem delu raziskali, zakaj se odločajo za eno ali drugo možnost, oziroma kateri dejavniki pri njihovi odločitvi prevladujejo. Primarni cilj magistrskega dela je ugotoviti, v kolikšni meri ključni dejavniki vplivajo na izbiro pravnoorganizacijske oblike podjetja na začetku podjetniške poti ter kateri so trije povprečno najvišje ocenjeni dejavniki vpliva na odločitev posameznika za s. p. in kateri so trije povprečno najvišje ocenjeni dejavniki vpliva na odločitev posameznika za d. o. o. Raziskava je pokazala, da število zaposlenih vpliva na izbiro pravnoorganizacijske oblike, in sicer največ s.p.-jev ima samo enega zaposlenega, največ d. o. o.-jev pa več kot štiri zaposlene. Ugotovili smo, da pri samostojnih podjetnikih na izbiro pravnoorganizacijske oblike na začetku podjetniške poti najbolj vplivajo dejavniki: upravljanje in poslovanje, obdavčitev dobička ter poslovni račun. Pri ustanoviteljih družb z omejeno odgovornostjo pa na izbiro pravnoorganizacijske oblike na začetku podjetniške poti najbolj vplivajo dejavniki: osebna odgovornost, dobiček ter ugled in zaupanje na trgu.

Title:	Choosing Legal-organizational Forms of Companies at The Beginning of The Entrepreneurial Process
Abstract:	One of the first and most important decisions a person has to make at the beginning of his entrepreneurial journey is which legal-organizational form of a company he will choose. In the real world, people mostly decide between a sole trader company and a limited liability company. In this dissertation we will research why people decide for one or the other option and which factors dominate their decision making. The primary goal of this dissertation is to find out to which degree the key factors influence the choice of the legal-organizational form of companies at the beginning of an individuals entrepreneurial journey. With that in mind, I want to find out what are the three highest rated factors on average that influence a persons decision for a sole trader company and what are the three highest rated factors on average that influence a person to choose a limited liability company. The research showed that the number of employees influences the choice of the legal-organizational form. As a result, most of the sole traders only have one employee and most limited liability companies have more than four employees. We found out that for sole traders, the choice of a legal-organizational form at the beginning of their entrepreneurial journey is mostly influenced by the following factors: management and commerce, taxation of profit and the business account. For the limited liability companies, the choice of the legal-organizational form at the beginning of their entrepreneurial journey is mostly influenced by these factors: personal responsibility, profit, reputation and trust on the market.
