Avtorica v magistrskem delu analizira in primerja pravno ureditev enotirnega sistema upravljanja delniških družb v Sloveniji, Veliki Britaniji in Evropski uniji. Predstavi ureditev enotirnega sistema upravljanja normirano v slovenskem Zakonu o gospodarskih družbah, britanskem Companies Act 2006 in Uredbi Sveta (ES) o ustanovitvi Evropske delniške družbe.

Title:The comparative legal regulation of the one-tier management system in Slovenia, European Union and Great Britain
Abstract:A public limited company is a legal form of a capital company that has its equity divided into shares. As a legal entity it is liable to creditors with all its assets, however shareholders are not liable for the companies’ liabilities to creditors. PLC needs management bodies that manage the company. Corporate governance is traditionally defined as a system in which companies are managed and controlled, and it also includes a series of links between company management, committees, shareholders and other stakeholders. In comparative corporate legislation there is a noticeable increase in the number of option models, namely one-tier and two-tier system. This was supported by the Council Regulation (EC) No. 2157/2001 on the Statute of European Public Limited Companies (Societas Europea - SE), which requires from Member States to ensure that companies organized as SE provide the possibility of choosing between the two systems. In Slovenia, the ZGD-1 provides an autonomous choice between the one-tier and two-tier system for both national PLC and the SE. While the United Kingdom regulates a mandatory one-tier system for national PLC. The author in the master's thesis analyzes and compares the legal regulation of the one-tier system of managing joint-stock companies in Slovenia, the UK and in the European Union. Presentation of the regulation of the one-tier corporative system, which is defined in the Slovenian Companies Act, the Companies Act 2006 in the Council Regulation (EC) establishing a European public limited company. The author presents in detail the findings of Slovene and the British theories and represents the European system and its influence on the legal regulation of the one-tier system in Slovenia and the UK. It shows the common characteristics of the differences between the two national systems and the management system set at European Union level.
