Abstract:Podjetja se odločajo za prestrukturiranje kadar si želijo izboljšati svoje poslovne rezultate. Globalni pritiski podjetja silijo v povezovanja in združevanja in tukaj tudi Slovenija ni izjema. Eden izmed načinov podjetniškega prestrukturiranja predstavljajo združitve. S sinergijami iz naslova združitve želijo podjetja izboljšati svojo prisotnost na trgih. Pri analiziranju združitev je pomembno razlikovati med različnimi vrstami združitev in njihovimi razlogi. Potrebno je tudi dobro poznavanje vseh pravno formalnih procesov postopka združitev in zakonske ureditve le teh. To še posebej velja za manjšinjske delničarje, katerih glas v postopku združitev nemalokrat nima velike vloge. Prav zaradi tega so zakonsko še posebej opredeljene tudi njihove pravice.

Title:Merger as a form of corporate restructuring
Abstract:Companies opt for restructuring, when they want to improve their bottom line. Global pressures force companies into integration and mergers and Slovenia is no exception. One of the ways of corporate restructuring is merger. With synergies, as a result of merger, companies want to improve their presence on the markets. In analyzing mergers, it is important to differentiate among the different types of mergers and the reasons for mergers. It is also necessary to have a good knowledge of all legal processes in the merger process and legal regulation of these. This is especially true for minority shareholders whose voice in the merger process often has no major role to play. For this reason, their rights are also separetly defined in law.
