Title:Alternative klasičnim insolvenčnim postopkom po vzoru sodobne pravno-ekonomske teorije

Abstract:Avtor v prispevku predstavlja različne teorije o alternativnih insolvenčnih postopkih, ki bi teoretično lahko nadomestili ali vsaj dopolnili trenutni sistem korporacijskega insolvenčnega prava, ki pozna predvsem stečajni postopek in postopek finančne reorganizacije. Avtor v uvodnem poglavju izpostavi, da odločitev o tem, ali naj se nad družbo uvede stečaj ali finančna reorganizacija, temelji na odgovoru na vprašanje, ali je podjetje dolžnika ekonomsko učinkovito ali ne. V skladu s splošno sprejeto ekonomsko teorijo naj se namreč finančno reorganizirajo zgolj ekonomsko učinkovita podjetja. Ugotavljanje ekonomske (ne)učinkovitosti se v praksi izkaže za zapleteno, relativno nezanesljivo in pogosto zelo drago. Hkrati v teoriji ni jasno, kdo naj prevzame breme odločitve o tem vprašanju in kakšen naj bo postopek tega odločanja. Posledično so številni teoretiki nezadovoljni s trenutnim sistemom insolvenčnega prava in predlagajo različne alternative, ki jih v grobem lahko razdelimo na sisteme javnih dražb, modele avtomatizma in modele, ki temeljijo na ex ante pogodbenih dogovorih. Avtor v zaključku izpostavi, da čeprav poteka razprava o alternativnih sistemih že dobrih 30 let, ti predlogi v veliki večini v praksi nikoli niso zaživeli.

Title:Law and economic alternatives to traditional insolvency proceedings
Abstract:The paper focuses on presenting various alternative insolvency proceedings that would supplement or replace existing types of corporate insolvency proceedings. The first chapter is dedicated to the question of how current legal systems regulate a situation when an insolvent company goes into financial reorganization or winding up. Law and economics theory explains that only internally efficient companies shall go into the financial reorganization proceedings. Determining if a company is internally efficient (if the expected discounted future earnings, taking into account the probability of failure of the company, are bigger that the current liquidation value of the debtor’s assets) is in practice one of the biggest issues of insolvency law. It is costly, complicated and relatively unreliable. This is why modern trends in insolvency theory are looking for alternatives to today's conventional proceedings that would overcome the difficulties in determining whether the debtor should be liquidated or reorganized. The presented alternatives can be divided into three main groups namely: (a) public auctions systems, (b) systems of ex ante contractual agreements and (c) theories of automatic debt to equity transformations. The author concludes his paper by remarking that even though scientists have been debating about alternatives for more than 30 years, none of the purposed solutions are widely used in current insolvency law systems.
