Title:Primerjava ustanovitve in prenehanja poslovanja samostojnega podjetnika in družbe z omejeno odgovornostjo

Abstract:Ustanoviti in imeti podjetje se sliši zelo enostavno, vendar ni vse čisto tako. Kadar se podjetnik odloči za ustanovitev podjetja, je pomembnih ogromno stvari, ki jih mora podjetnik dobro preučiti, preden se loti ustanovitvenega postopka. V diplomskem delu obravnavamo primerjavo ustanovitve in prenehanja delovanja dveh najpogostejših pravno-organizacijskih oblik podjetja v Sloveniji. Predstavljamo celoten postopek ustanovitve podjetja izbranih dveh pravno-organizacijskih oblik, njune prednosti, slabosti in postopek prenehanja delovanja. Za podjetje je zelo pomembno, za katero pravno-organizacijsko obliko se odloči ob ustanovitvi, zato v nalogi podrobneje analiziramo podobnosti in razlike pri samostojnemu podjetniku in družbi z omejeno odgovornostjo. Prav tako je dobro, da se podjetnik, ki se odloči za podjetniško pot, seznani tudi s postopkom in načinom prenehanja delovanja, saj je podjetniška pot težko predvidljiva in na podjetje vpliva mnogo zunanjih dejavnikov (mednarodne krize, valutne nestabilnosti ipd.). Leta 2016 je bilo v Sloveniji registriranih 196 072 podjetij, od tega 60 514 podjetij pravno organizacijske oblike d. o. o. in 94 730 samostojnih podjetnikov. Iz te statistike lahko ugotovimo, da je Slovenija precej podjetna država, ki ima veliko uspešnih podjetij. Pomembno za državo pa je tudi to, da se povečuje podjetništvo iz priložnosti in se zmanjšuje podjetništvo iz nuje.

Title:Comparison of establishment and discontinuance of sole entrepreneur and limited liability company
Abstract:Setting up and running a business enterprise seems to be an easy thing to do, yet not everything is as simple as it sounds. There is a great number of things an entrepreneur needs to take into consideration before starting a business. In the thesis, we are going to compare a business establishment and its closure in terms of legal and organizational form of enterprise in Slovenia. When establishing a company, choosing the right legal form of business organization is of crucial importance. We are going to introduce the entire process of founding a company with regard to both, legal and organizational forms of enterprise, the advantages and disadvantages and, last but not least, the procedure of closing a company. When founding an enterprise, a company´s greatest priority is choosing the right legal form of business organization. Therefore, we are going to closely examine the similarities and differences between an individual entrepreneurship and a limited liability company. In addition, an entrepreneur, who has decided to start a new business, needs to acquaint himself with the procedure of business dissolution; a business career might, in many cases, be highly unpredictable. Furthermore, there are several external factors that can affect any business (e.g.: international crises, currency instability and inflation, etc.) In 2016, there were 196 072 registered Slovenian companies, comprising 60 514 companies as separate legal identities and 94 730 individual entrepreneurs. Statistically speaking, this suggests Slovenia is rather an enterprising country with many successful companies. Additionally, striving to increase an opportunity-based entrepreneurship in contrast to a necessity-based one is an important factor for the economic growth of a country.
