Title:Obligacijskopravna vprašanja prevoza z Uberjem

Abstract:Magistrsko delo odpira in naslavlja obligacijskopravna vprašanja prevoza z Uberjem, pod predpostavko, da bi ta s svojim delovanjem prodrl tudi na trg Republike Slovenije. Za ustrezno preučevanje obligacijskopravnih vprašanj je potrebno poznavanje delovanja digitalne pametne platforme in poteka prevoznih storitev z uporabo mobilne aplikacije Uber, kar je predstavljeno v uvodnih poglavjih. V slednjih so izpostavljeni tudi posamezni problemi in izzivi, ki jih prinaša digitalizacija ponujanja različnih storitev, s poudarkom na konkretnem primeru prevozov z Uberjem. Problematika delovanja in ponujanja storitev preko mobilne digitalne platforme ob pomoči istoimenske mobilne aplikacije je izjemno široka in posega na različna pravna področja. Med pomembnejšimi so predvsem javnopravna vprašanja različnih dovoljenj, vprašanja statusa voznikov z vidika delovnega prava in pa obligacijskopravna vprašanja, ki vplivajo predvsem na uporabnike tovrstnih storitev. Zdi se, da so med naštetimi najmanj raziskana obligacijskopravna vprašanja, ki so predmet magistrskega dela. Ker je Slovenija od leta 2004 članica EU in v njej ob vseh nacionalnih pravnih predpisih veljajo tudi predpisi, ki so del prava EU, hkrati pa je trg Republike Slovenije tudi del notranjega trga EU, na katerem veljajo specifična pravila, je predstavljena tudi problematika z vidika prava EU. Pri tem je posebej izpostavljena sodba Sodišča EU v zadevi Asociación Profesional Elite Taxi proti Uber Systems Spain SL ter mnenje generalnega pravobranilca Szpunarja. Kljub temu, da se Sodišče EU in generalni pravobranilec v predstavljeni zadevi nista ukvarjala z obligacijskopravnimi vprašanji, lahko nekateri njuni zaključki in pomisleki služijo kot usmeritev pri iskanju odgovorov na obligacijskopravna vprašanja. Med slednjimi je izpostavljena problematika povezana s sklenitvijo pogodbe med osebami, ki so udeležene pri prevozu z Uberjem, to so uporabnik, upravljavec platforme in voznik. Glavno vprašanje, ki predstavlja osrednji del magistrskega dela je vprašanje pravne narave posameznega obligacijskopravnega razmerja. Pri iskanju odgovora na slednje so upoštevane možnosti, da gre za sklenitev posredniške, špedicijske ali prevozne pogodbe, pri vsaki izmed njih pa so predstavljeni tudi argumenti za in proti podreditvi razmerja posameznemu pogodbenemu tipu. Poleg vprašanja pravne narave razmerja so obravnavana še vprašanja trenutka sklenitve pogodbe in vsebine le-te, predvsem z vidika vključevanja splošnih pogojev pogodbe, ki jih uporabnikom v sprejem ob registraciji predloži Uber, in vprašanje sankcij za kršitev pogodbe.

Title:Contract law issues pertaining to
Abstract:The thesis addresses contractual law questions related to getting a ride wih Uber, under persumption of Uber being available in Slovenia. To properly address all the contractual law issues, it is important to understand the modus operandi of Uber and its platform, which is presented in the introductory chapters. The latter also highlight some problems and challenges, brought by the digitalisation of services, with emphasis on getting a ride with Uber. Issues pertaining to offering services via a digital platform by using a mobile application are a broad theme and intertwines with different fields of law. One of the most important ones are issues related to public law, which deal with different matters in relation to permits, labour law, which mostly highlight the questions related to Uber drivers’ status and lastly contract law, which has a significant effect on the users of digitalized services. It seems that between all the above, the contract law issues are the ones that have been researched the least and they are the sole focus of the thesis. Since in 2004 Slovenia has joined the EU and therefore accepted an obligation of implementing and respecting not only the national law of Slovenia, but also the EU law. At the same time the Slovenian market became a part of the European Single Market, which is governed by specific laws, which is why the thesis also addresses the issues from EU aspect. Regarding this, the thesis focuses on a judgment of the CJEU in the Case of Asociación Profesional Elite Taxi v Uber Systems Spain SL and the opinion of Advocate General Szpunar. Even though the CJEU and AG have not dealt with the questions of contract law in this matter, their ratio decidendi is important nonetheless as it may indicate the circumstances that have to be considered when addressing the questions pertaining to contract law. Between the latter, the emphasis is on the conclusion of contracts between persons participating in an Uber ride, which is the user, the Uber company as an operator of the platform and the driver. The main question – which is also the core of the thesis – is the question of legal nature. Regarding the latter I have considered different options, namely intermediary contract, freight forwarding contract and transportation contract. Along with the question of legal nature, other questions are also addressed, namely the question of when the contract is concluded and what it stipulates, especially considering the inclusion of Terms and Conditions that Uber users agree to when creating an account with Uber. Lastly, the thesis addresses the question of sanctions for breach of said contract.
