Title:Pravna analiza finančnih zavarovanj s pregledom sodne prakse

Abstract:Zaradi vse večjega financiranja s pomočjo kreditov narašča tudi potreba po zagotovitvi ustreznega zavarovanja. Pri več milijonskih transakcijah je pomembno, da je zavarovanje likvidno in ga je mogoče hitro realizirati. Kot posledica Akcijskega načrta za finančne storitve je bila sprejeta Direktiva 2002/47/ES Evropskega parlamenta in Sveta z dne 6. junija 2002 o dogovorih o finančnem zavarovanju, ki daje državam članicam pravne okvirje za ureditev področja finančnih zavarovanj. Direktiva je bila v slovenski pravni red prenesena z Zakonom o finančnih zavarovanjih. Namen ureditve je hiter in neformalističen način realizacije finančnih zavarovanj, s katerim se zagotovi likvidnost finančnih trgov. Pomembno pa je poudariti, da je ureditev Zakona o finančnih zavarovanjih specialnejša od nekaterih splošnih pravil slovenske zakonodaje, predvsem v postopkih insolventnosti. Stranke, ki lahko uporabljajo finančna zavarovanja, morajo izpolnjevati določene pogoje. Gre predvsem za profesionalne subjekte, pri katerih se domneva, da poslujejo z visoko mero strokovnosti in skrbnosti. Prav zaradi tega je mogoče pri Direktivi in posledično pri Zakonu o finančnih zavarovanjih zaznati odmik od kogentnih pravil in drugih formalnosti, saj se predvideva, da za profesionalne subjekte takšna visoka stopnja strogosti ni potrebna. Stranke pogodbe o finančnih zavarovanjih lahko na finančnem instrumentu, gotovini ali bančnem posojilu ustanovijo bodisi zastavno pravico, bodisi prenesejo polno pravico na finančnem instrumentu, gotovini ali bančnem posojilu na prejemnika finančnega zavarovanja. V primeru nastopa neizpolnitve lahko prejemnik zavarovanja hitro in učinkovito realizira finančno zavarovanje. Slednjega lahko zunajsodno proda, si predmet prisvoji ali poda pobotno izjavo. Namen teh pravil je upniku omogočiti pospešeno poplačilo svoje zavarovane terjatve. V Zakonu o finančnih zavarovanjih sta urejena tudi notarska hipoteka in postopek notarske prodaje, ki prav tako sledita namenom in ciljem Direktive po hitri realizaciji zavarovane terjatve.

Title:Legal analysis of financial collateral with case law examination
Abstract:As financing through credits is on the rise, the need for ensuring proper insurance is needed as well. With millions of transactions comes the importance of liquid insurance which is to be quickly implemented. As a result of Financial Services Action Plan, Directive 2002/47 / EC of the European Parliament and Council was adopted on June 6th, 2002 on financial collateral arrangements, giving Member States the legal framework for regulating the field of financial collateral. The Directive was transferred into Slovenian legal order by the Financial Collateral Act. It is important to emphasize that the regulation of the Financial Collateral Act is more specific than certain general rules of Slovenian legislation, especially in insolvency procedures. Customers who can use financial collateral should comply with certain conditions. It is purposed for professional subjects who are assumed to do business on high levels of professionalism and care. For this reason, the Directive and consequently the Financial Collateral Act can be seen as a departure from the binding rules and other formalities, as it is assumed that such a high level of strictness is not required for professional subjects. Parties of financial collateral agreements may either establish a pledge on a financial instrument, cash or credit claim, or transfer the full right to the recipient of the financial collateral. In case of fulfilment, the insurance beneficiary of financial collateral can be realized quickly and efficiently. Subject of financial collateral can be sold out-of-court, appropriated or declared a reconciliation statement. The purpose of such rules is to enable quick repayment of creditors secured claim. The Financial Collateral Act also regulates the notarial mortgage and the notary sale procedure, which also follows the purpose and objectives of the Directive after the rapid realization of the insured receivable.
