Abstract:	Zaradi slabšanja položaja obeh bank je bilo jasno, da Probanki in Factor banki sledi prestrukturiranje. Zaradi likvidnega stanja, kapitalske moči, plačevanje obveznosti in finančnega položaja je Banka Slovenija bila primorana, da izda odločbo o izredni upravi na podlagi prvega odstavka 217. člena in prvega odstavka 253. člena ZBan-1 dne 6.9.2013. Tako sta banki postopno prenehali delovati in sta bili še istega dne imenovani izredni upravi. Vsa njuna pooblastila je prevzela Banka Slovenije, ki je pridobila posredne in neposredne pristojnosti v zvezi z nadzorom poslovanja obeh bank. Ker se je stanje v bankah še slabšalo, sta morali izvesti revidirano poročilo o finančnem stanju in predlog za prenehanje delovanja z minimalnimi stroški za proračun Republike Slovenije. Prav tako je bil izdelan načrt prestrukturiranja. Banki sta izkazovali negativni kapital, kar je pomenilo, da njuno premoženje ni bilo v dovolj visokem znesku, da bi poplačale vse terjatve in obveznosti do upnikov. Tako posledično nista zagotavljale minimalnega kapitala, da bi uresničile načrt prestrukturiranja, ki je bil izdelan konec leta 2016. Probanka in Factor banka sta pridobili zeleno luč za posojilo ELA, da sta banki lahko v določenem znesku poplačali vse obveznosti. Dolg sta mesečno odplačevali po obrokih vse do leta 2014, preostanek dolga pa se je prenesel s pripojitvijo na DUTB. Ta se je zgodila s podpisom pogodbe pri notarju dne 3.2.2016, v veljavnost pripojitve pa je vstopila z vpisom v sodni register. Pogodba določa, da se s pripojitvijo prenese vso premoženje obeh bank ter pravice in obveznosti. DUTB kot prevzemna družba se z vpisom v sodni register šteje kot nova lastnica obeh bank, ne da bi pri tem se prej opravila likvidacija Probanke in Factor banke. Po stanju 1. 1. 2016 se poleg pravic, obveznosti in premoženja prenesejo tudi zaposleni. Ti se s pripojitvijo bistveno zmanjšajo, prav tako so se zmanjšale poslovne enote obeh bank.

Title:	Acquisition of factorbanka and probanka to
Abstract:	Due to deterioration of both banks’ position, it has become increasingly clear, that Probanka bank and Factor bank shall undergo a restructuring. Because of the liquidity situation, capital strength, payment of liabilities and financial position, on the 6th of September, 2013, the Bank of Slovenia was compelled to issue a decision on extraordinary administration pursuant to the first paragraph of Article 217 and the first paragraph of Article 253 of ‘ZBan-1’. Consequently, the two banks (Probanka bank and Factor bank) gradually ceased operations, and on that day, an extraordinary administration board was appointed to them. The Bank of Slovenia became authorized for direct and indirect competencies, which were in control of the business of both banks. Due to the deterioration of their banking activities, both banks had to prepare a revised report on their financial situation, as well as a proposal for termination with minimal expenses for the budget of the Republic of Slovenia needed to be submitted. A restructuring plan was also prepared. The banks demonstrated negative capital, which meant, their assets did not suffice to pay off all the claims and liabilities they still had to pay to their creditors. As a result, they did not demonstrate the minimum capital capacity to implement the restructuring plan, which was drafted at the end of year 2016. Probanka and Factor banka have obtained the green light for the ELA loan and this way they could, in a certain amount, pay off all of their obligations. The debt was repaid monthly by installments up untily. 2014, and the remained amount was transferred to DUTB with the acquisition. The acquisition took place by signing the notarized contract on 3rd of February, 2016 and became valid with entry to the court register. The contract determined the acquisition to transfer the rights, all the assets of both banks and their obligations as well. DUTB – as the acquiring company – was considered to be the new owner of both banks by entry in the court register without liquidating Probanka and Factor banka prior to that. As of 1st of January, 2016, the employees were transferred as well, in addition to rights, liabilities and property. The amount of employees declined significantly after the acquisition, and the amount business units of both banks also decreased.
