Title:Prehod lastninske pravice od tretje osebe na komitenta v zvezi s komisijsko pogodbo : diplomsko delo

Abstract:V diplomski nalogi so predstavljene posebnosti in način prehoda lastninske pravice od tretje osebe na komitenta pri nakupni komisijski pogodbi. Ker so pri prodajni komisijski pogodbi stališča teoretikov glede prehoda lastninske pravice bolj enotna, kot pri nakupni komisijski pogodbi, je v diplomski nalogi obravnavana le nakupna komisija. Obravnava nakupne komisije temelji na primerjavi z običajno prodajno pogodbo ter na vlogi komisionarja, ki je hkrati v pogodbenem razmerju s komitentom in tretjo osebo. V diplomski nalogi je obravnavan zgolj prenos lastninske pravice, kot temeljne stvarne pravice, ugotovitve pa analogno veljajo tudi glede prenosa drugih stvarnih pravic. Kot predmet lastninske pravice so v diplomski nalogi obravnavane samo premičnine, ki so najpogosteje predmet nakupne komisijske pogodbe. Pri nakupni komisijski pogodbi da komitent svojemu komisionarju naročilo za nakup določenega blaga. Komisionar nato s tretjo osebo sklene pravni posel o nakupu blaga v svojem imenu, a za račun komitenta. Razlog, da komisionar ne kupuje stvari za lastne potrebe, ampak za potrebe komitenta, ne vpliva na prehod lastninske pravice od tretje osebe na komisionarja. Tretja oseba ni v neposrednem pogodbenem razmerju s komitentom. Gre za primer posrednega zastopanja, kjer zastopnikove izjave volje ne ustvarjajo pravic neposredno v sferi zastopanega. Zato med tretjo osebo in komitentom ne pride do vzpostavitve neposrednega pravnega razmerja. Med njima velja načelo ločenosti pravnih razmerij, po katerem pravila o komisijski pogodbi urejajo notranje razmerje med komitentom in komisionarjem, pravila o prodajni pogodbi pa urejajo zunanje razmerje med komisionarjem kot kupcem in tretjo osebo kot prodajalcem. Pri tem opazimo odmik od načela kavzalnosti, ki za uspešen prenos lastninske pravice zahteva veljaven zavezovalni pravni posel med odsvojiteljem in pridobiteljem, iz katerega izhaja obveznost prenesti lastninsko pravico. Ta je hkrati kavza oz. podlaga razpolagalnega pravnega posla, s pomočjo katerega se lastninska pravica dokončno prenese. Čeprav se izročitev blaga zastopniku šteje za izročitev zastopanemu, pa med komitentom in tretjo osebo ne obstaja zavezovalni pravni posel, saj sta stranki vsaka svojega pravnega posla. Zato prehod lastninske pravice ni tako enostaven, kot pri običajni prodajni pogodbi, kjer sta prodajalec in kupec stranki istega pravnega posla.

Title:Transition of an ownership right from third person to principal in connection with the commission contract
Abstract:In this diploma work we will introduce specifics about the transition of an ownership right from a third person to the principal in connection with a buying commission contract. When it comes to a selling commission contract, theorethics have more unified standpoints about the transition of an ownership right than on the buying commission contract. Therefore we will focus on the buying commission contract. We will make a comparison between a buying commission contract and an ordinary buying contract because the commission agent is engaged in both of them. Since an ownership right is the fundamental property right and many rules of its transition apply to other property rights, we will analyze only the transfer of an ownership right. As the object of an ownership right, we will focus only on movables, as they are most often the objects transferred by a buying commission contract. In the case of a buying commission contract the principal gives his commission agent an order to buy certain goods for him. After that the commission agent signs a buying contract with a third person to buy goods in his own name but for the principal’s account. The fact that the commission agent is not buying goods for his own needs does not affect the transition of an ownership right from the third person to the commission agent. The third person is not involved in a contractual relationship with the principal. This is called an indirect representation where the representative's legal acts are not creating rights directly in the sphere of the represented. Between the principal and third person exists a separation principle, which divides the inner relationship between the principal and commission agent from the outer relationship between the commission agent and third person. The inner relationship is regulated with provisions concerning the commission contract while the outer relationship is regulated with rules of the buying contract. Here we notice a deviation of the causal principle, according to which a valid contract between two parties is needed to transmit an ownership right. This contract creates an obligation to transfer an ownership right and represents the foundation of the disposition legal act necessary to finally transmit an ownership right. Despite the handover of goods to the representative replaces the handover to the represented, no binding contract exists between the principal and third person. Because of that the ownership right transition does not occur in the same way, as it does on the basis of a regular buying contract between seller and buyer. The principal and third person are each parties of separate contracts, what makes the transfer of an ownership right between them more complex.
