Title:Distribucijska pogodba po pravilih DCFR : magistrsko delo

Abstract:Distribucijska pogodba tako kot načeloma v nobeni evropski državi tudi v Sloveniji ni zakonsko urejena pogodba, povsod po svetu pa jo poslovni svet pozna. Pravila za njeno uporabo so dodelana s poslovno in sodno prakso oziroma se za njeno ureditev z analogijo uporabljajo pravila drugih pogodb, ki zakonsko so urejene (npr. prodajne in agencijske pogodbe). Distribucijska pogodba res ni urejena z zakonskimi pravili, je pa urejena v avtonomnih pravilih, ki jih stranke v svoje razmerje lahko vključijo in se po njih ravnajo. Zaradi pogostosti sklepanja distribucijskih pogodb v mednarodnem prostoru in želje po enotni ureditvi le-te, so distribucijsko pogodbo želeli urediti tudi na ravni Evropske unije (EU). Eden izmed uspešnih poskusov poenotenja gospodarskega pogodbenega prava na ravni EU je izdaja avtonomnega pravnega vira, to je Osnutka skupnega referenčnega okvira (DCFR), kjer je poleg drugih pogodb urejena tudi distribucijska pogodba. DCFR je pripravila skupina pravnikov in ni obvezujoč zakonsko sprejet akt, ampak služi le kot priročnik evropskega pogodbenega prava. Kljub temu, da je avtonomni pravni vir ima DCFR na področju poenotenja civilnega prava EU velik pomen, saj ponuja sprejemljive rešitve za pogodbene stranke po celi EU. Pri pisanju DCFR in s tem tudi pri ureditvi distribucijske pogodbe oziroma pri določanju pravic in obveznosti pogodbenih strank v distribucijski pogodbi, so pisci DCFR upoštevali pravne ureditve različnih pravnih redov v EU. Med različnimi pravnimi redi v EU so skušali najti skupne točke ureditve distribucijske pogodbe ter skladno s tem njeno ureditev zajeli v DCFR. Zaradi svoje narave, ki predstavlja potencialno nevarnost notranjemu trgu, mora biti distribucijska pogodba v EU skladna s konkurenčno zakonodajo, zato jo urejajo konkurenčna zakonska pravila tako na ravni EU kot tudi slovenska nacionalna konkurenčna pravila.

Title:Distribution contract under DCFR rules
Abstract:In principle, a distribution contract is not legally regulated in any European country nor Slovenia but is known worldwide by the business world and the rules of other regulated contracts (e.g. sales and agency contracts) are applied by analogy. In addition, the rules for its application are elaborated through business and case law. Although the distribution contract is not regulated by legal rules, it is regulated by autonomous rules, which the parties can include and follow in their relationship. Due to the frequency of concluding distribution contracts in the international area and the desire for their uniform regulation, the regulation of the distribution contract at the level of the European Union (EU) has been needed. One successful attempt to harmonize commercial contract law at EU level is the issue of an autonomous legal source, the Draft Common Frame of Reference (DCFR), which regulates, among other contracts, also the distribution contract. The DCFR has been drafted by a team of lawyers and is not a legally binding act but serves only as a guide to European contract law. Despite being an autonomous legal source, the DCFR is of great importance in the field of EU civil law unification since it offers acceptable solutions to contracting parties across the EU. In writing the DCFR and thus regulating the distribution contract, or in defining the rights and obligations of the contracting parties in the distribution contract, the DCFR authors have taken into account the legal arrangements of the different legal systems in the EU. Among different Union acquis, they sought to find common points of the distribution arrangements regulation and, accordingly, covered them in the DCFR. Due to its nature, which poses a potential threat to the internal market, the distribution contract in the EU must be in accordance with competition law, which is why it is governed by competition law rules both at EU level and Slovenian national competition rules.
