Title:Zavarovanje denarnih terjatev z zastavitvijo delnic kot primer finančnih zavarovanj terjatev

Abstract:Podjetja se pogosto srečujejo s slabo plačilno disciplino nasprotnih pogodbenih strank. Prihodki od prodaje pa predstavljajo ključen vir za nemoteno izvajanje poslovnega procesa. Ker velik delež prodaje predstavlja prodaja na odloženo plačilo, je zagotavljanje rednega izpolnjevanja obveznosti plačil s strani dolžnikov in na ta način zagotovljene likvidnosti za podjetje ključnega pomena. V poslovni praksi so prisotne številne oblike finančnih zavarovanj in instrumenti zavarovanj terjatev, ki zavarujejo upnika pred tveganjem neizpolnitve dolžnikove obveznosti. Med stvarnimi zavarovanji sta po uporabi v poslovni praksi najpogostejša zastava nepremičnine in zastava vrednostnih papirjev. Uporaba slednje še posebej skokovito narašča v najrazvitejših svetovnih tržnih gospodarstvih kot tudi v Sloveniji. V primerjavi z ostalimi oblikami zavarovanj terjatev je zastava vrednostnih papirjev, natančneje delnic kot oblike finančnega zavarovanja terjatev, v številnih pogledih optimalnejši način zavarovanja, ki zastavnemu upniku prinaša mnoge prednosti pred ostalimi načini zavarovanj. Uporabe finančnih zavarovanj terjatev se poslužujejo predvsem večja podjetja, katerih znaten del poslovanja predstavlja poslovanje s tujino in neznanimi kupci. Ob uporabi finančnih zavarovanj pri takšnem načinu poslovanja so ta podjetja izpostavljena tudi številnim novim poslovnim in pravnim tveganjem, katerih obvladovanje pa se razvija v skladu z razvojem finančnih zavarovanj. S sklenjenim finančnim zavarovanjem podjetje pridobi zagotovilo za plačilo in si tako zagotovi možnost večjega obseg poslovanja in višjo stopnjo likvidnosti.

Title:Securing cash receivables by pledging shares as an example of financial collateral
Abstract:Businesses often face with poor payment discipline from counterparties. Sales revenues are a key source for the smoot implementation of the business process. As a large share of sales is accounted for by deferred payment, ensuring the regular fulfilment of payment obligations by debtors and thus provided liquidity is crucial for the company. There are many forms of financial collateral and forms of securing receivables in business practice that insure the creditor against the risk of default of the debtor. Among collateral, the most common collateral is the real estate pledge and the pledge of securities. The use of the pledge of securities is growing especially rapidly in the most developed world market economies as well as in Slovenia. Compared to other forms of collateral, the pledge of securities, more precisely shares as a form of financial collateral, is in many respects a more optimal method of insurance, which brings many advantages over other methods of collateral. Financial collaterals are mainly used by larger companies, with a significant part of foreign operations and unknown customers. When using financial collateral in this way of doing business, these companies are also exposed to a number of new business and legal risks, the management of which is being developed in accordance with the development of financial collateral. With the concluded financial insurance, the company obtains a payment guarantee and thus secures the possibility of a larger volume of business and a higher level of liquidity.
