Abstract:
Družba z omejeno odgovornostjo je torej družba, katere osnovni kapital sestavljajo osnovni vložki družbenikov. Je ena najpogostejših oblik gospodarske družbe. Družbenik v Družbi z omejeno odgovornostjo ne odgovarja za obveznosti družbe. Družba sama odgovarja z vsem svojim premoženjem. Družba z omejeno odgovornostjo je ena najpogostejših družb v Sloveniji in v Srbiji, kljub temu pa se sami zakonodaji družbe nekoliko razlikujeta ena med drugo. V diplomskem delu sem najprej opisala samo ustanovitev družbe v Sloveniji in nato v Srbiji. Na koncu sem obe državi med seboj primerjala. Prav tako sem opisala obdavčitev družbe v Sloveniji in obdavčitev družbe v Srbiji in na koncu obe primerjala.

Title:
Establishment of a limited liability company – a comparison between slovenia and serbia
Abstract:
A limited liability company is therefore a company whose share capital consists of shareholders' share contributions. It is one of the most common forms of company. A partner in a limited liability company is not liable for the company's obligations. The company itself is liable with all its assets. The limited liability company is one of the most common companies in Slovenia and Serbia, however, the company's legislation itself differs slightly from each other. In the diploma work, we first described only the establishment of the company in Slovenia and then in Serbia. In the end, we compared the two countries to each other. We also described the taxation of the company in Slovenia and the taxation of the company in Serbia and finally compared the two.
