Title:Prenos lastništva in vodenja družinskega podjetja na drugo generacijo

Abstract:V diplomskem projektu smo najprej proučili družinsko podjetništvo, ki je najpogostejša oblika podjetništva v slovenskem in tudi evropskem gospodarstvu. Raziskovalci si kljub temu še vedno niso povsem enotni glede opredelitve oziroma definicije družinskega podjetništva, predvsem zaradi njene obširnosti ter različnih meril. Prednost družinskih podjetij je zagotovo ta, da so družinski člani dnevno vključeni v poslovanje podjetja, kar omogoča naslednji generaciji lažji prevzem in boljše poznavanje podjetja. Zaradi velike povezanosti družinskih članov v zasebnem in službenem času pa lahko pride tudi do trenj, različnega mišljenja ter s tem do konfliktov. Tesno povezano z družinskim podjetjem je nasledstvo. Strokovnjaki s tega področja priporočajo, naj se začne prenos podjetja načrtovati vsaj deset let prej oz. preden se podjetnik/podjetnica odloči za upokojitev, skratka dovolj zgodaj. Nasledstvo delimo na prenos lastništva in/ali vodenja. Znotraj prenosa podjetja so dodatne delitve, in sicer glede na to, ali se lastnik odloči za prenos podjetja na družinskega člana, strokovnjaka iz podjetja ali na tretjo osebo izven podjetja. Obenem se lahko le-ta odloči, ali prenos lastništva in vodenja steče istočasno, zaporedno ali lastnik preda samo vodstveno funkcijo. Pridobljeno znanje iz teoretičnega dela smo uporabili in poglobili v empiričnem delu diplomskega projekta. Proučili smo prenos lastništva in vodenja družinskega podjetja na drugo generacijo, in sicer na primeru trgovskega podjetja Jagros, d.o.o. Po predstavitvi podjetja smo z metodo študija primera analizirali potek prenosa lastništva in vodenja podjetja. Manjkajoče informacije o poteku prenosa smo pridobili od ustanovitelja podjetja s pomočjo intervjuja.

Title:Family business transfer to second generation
Abstract:In my dissertation I dealt with family businesses, which are the most common type of business in the Slovenian and European economy. There is some disagreement between researchers about a unified definition for family business because the scope of definition varies widely and look at businesses with different criteria. One of the many advantages is that the next generations grow with the business, learn about it on a daily basis, which in the long run means that they will take over the company more easily and get to know the business better. On the other hand, the combination of personal and business time brings friction and conflict between family members. Family business is strongly associated with business transfer. Many authors suggest that they start planning at least ten years earlier, or before the founder retires. Business transfer can occur through transfer of ownership or transfer of leadership. Both can be transferred to family member/s, expert within company, or a third person outside of the company. Transfer of ownership and leadership can be done together or separately. We increased our knowledge about family business and business transfer with the empirical part of the dissertation. This was about The Company, Jagros, limited liability company. After the presentation of the company, we made a study with the case study of company business transfer. The missing information about the transfer we received from the founder of the company.
