Title:Pravna ureditev samostojnega podjetnika (primerjalno) : magistrsko delo

Abstract:Samostojni podjetnik je pravno-organizacijska oblika, ki se definira kot fizična oseba, ki samostojno opravlja pridobitno dejavnost z namenom pridobivanja dobička. Naloga obravnava posebnosti pravnega položaja podjetnika. Ker je samostojni podjetnik pogosta oblika organiziranja podjetja v kontinentalnem pravu, primerjamo posebnosti pravne ureditve samostojnega podjetnika v različnih pravnih sistemih – tokrat v Republiki Sloveniji, Zvezni republiki Nemčiji ter v Republiki Avstriji. Omenjene države imajo podobno ureditev z manjšimi, toda značilnimi razlikami. Na eni strani so sistemi, v katerih samostojni podjetnik lahko opravlja pridobitno dejavnost brez da bi izvršil vpis v poslovni register, kar pomeni, da je vpis v poslovni register prostovoljni. V Republiki Sloveniji je pa osnovna obveznost samostojnega podjetnika, preden začne opravljati dejavnost, vpis v poslovni register. Za vse omejene sisteme so pravila prenehanja opravljanja dejavnosti samostojnega podjetnika podobna. Zato so predstavljeni vsi načini prenehanja opravljanja dejavnosti s strani samostojnega podjetnika. Naloga prvotno obravnava zgodovinski razvoj pravnih pravil, ki so urejala institut samostojnega podjetnika, ter zgodovinski razvoj instituta samostojnega podjetnika, da bi bralec razumel, kaj je privedlo do razlik v pravnih pravilih in urejanju tega instituta.

Title:The regulation of a sole proprietor (comparatively)
Abstract:A sole proprietor is a legal organizational form, which is defined as an individual person who independently performs a gainful activity for the purpose of obtaining profit. The thesis deals with the peculiarities of legal position of the sole proprietor. Since the sole proprietor is a common form of company organization in continental law, we compare the specifics of the legal regulation of the sole proprietor in different legal systems - this time in the Republic of Slovenia, the Federal Republic of Germany and the Republic of Austria. The mentioned countries have similar regulations with minor but key differences. On one hand, there are systems in which a sole proprietor can perform a gainful activity without registering in the commercial register, in other words, entry into the commercial register is voluntary. However in the Republic of Slovenia, the obligation of a sole proprietor, before starting to carry out any activity, is to register in the commercial register. Termination procedures for activities of a sole proprietor are similar for all legal systems mentioned above. Therefore, all methods of termination for activities of a sole proprietor are presented in the thesis. The thesis initially deals with the historical development of legal rules that regulated this institute of the sole proprietor and the historical development of this institute so that the reader would understand what led to the differences in the legal rules and regulations of this institut.
