Title:Primerjava med institutoma spregleda pravne osebnosti in izplačilne prepovedi v povezavi z omejitvijo ustanavljanja družb po 10.a členu ZGD-1 : magistrsko delo

Abstract:Pravni mehanizmi kot so spregled pravne osebnosti, izplačilna prepoved in omejitev ustanavljanja družb po 10.a členu ZGD-1 zagotavljajo varstvo upnikov in drugih deležnikov v gospodarskih družbah ter preprečujejo zlorabe pravne osebnosti kapitalskih družb. Institut spregleda pravne osebnosti, urejen v 8. členu ZGD-1, omogoča razširitev odgovornosti družbenikov za obveznosti družbe v primerih zlorabe pravne subjektivitete za osebne koristi. Enako tudi institut izplačilne prepovedi sankcionira prepovedana ravnanja družbenikov. Slednji omejuje izplačila družbenikom iz premoženja družbe in s tem preprečuje zmanjšanje jamstvenega kapitala. Oba instituta sta tesno povezana, saj se pogosto uporabljata v primerih, ko družbeniki s protipravnimi ravnanji zmanjšujejo premoženje družbe ali izigravajo njene upnike. Medtem ko spregled pravne osebnosti ščiti upnike z razširitvijo odgovornosti za njene obveznosti na družbenike, izplačilna prepoved omogoča vračilo neupravičenih izplačil. V povezavi s tema institutoma je pomemben tudi 10.a člen ZGD-1, ki omejuje ustanavljanje družb in pridobitve statusa družbenika posameznikom, ki so bili pravnomočno obsojeni za gospodarsko kaznivo dejanje, katerega podlaga je lahko tudi ravnanje, ki je podlaga za spregled pravne osebnosti, ali so prejeli globe zaradi kršitve izplačilne prepovedi v družbi z omejeno odgovornostjo. Omejitev iz 10.a člena ZGD-1 tako preprečuje ponavljajoče se zlorabe pravne subjektivitete družb. Vsi trije instituti, ki so obravnavani v nalogi so ključni za zagotavljanje integritete trga in preprečevanje zlorab.

Title:Comparison between the institute of lifting the corporate veil and the prohibited distribution in relation to the restriction on the establishment of a company under article 10a of the companies act (ZGD-1)
Abstract:Legal mechanisms such as lifting the corporate veil, prohibited distribution, and restrictions on the establishment of a company under Article 10a of the Slovenian Companies Act (ZGD-1) serve to protect creditors and other stakeholders in corporate entities while preventing the misuse of corporate personality in capital companies. The doctrine of lifting the corporate veil, regulated under Article 8 of ZGD-1, allows for the extension of shareholder liability for the company’s obligations in cases where corporate personality has been abused for personal gain. Similarly, the prohibited distribution sanctions unlawful conduct by shareholders by restricting distributions from company assets, thereby preventing the depletion of bind capital. These two doctrines are closely interconnected, as they are frequently applied in cases where shareholders engage in unlawful actions to diminish company assets or circumvent creditor claims. While the doctrine of lifting the corporate veil protects creditors by extending liability for corporate obligations to shareholders, the prohibited distribution ensures the restitution of unjustified payments. In connection with these mechanisms, Article 10a of ZGD-1 is also significant, as it restricts the establishment of companies and the acquisition of shareholder status by individuals who have been convicted of an corporate criminal offence, where the underlying conduct may also constitute grounds for the use of lifting the corporate veil, or if they have been fined for violating the payment ban in a limited liability company. The restriction under Article 10a of ZGD-1 thus prevents the recurring misuse of corporate personality. All three legal mechanisms examined in this paper are essential for ensuring market integrity and preventing corporate abuses.
