Abstract:V tej magistrski nalogi je obravnavan institut spregleda pravne osebnosti kot izjema od načela ločenosti družbe in njenih članov. Čeprav pravna osebnost družbe omogoča članom zaščito pred osebno odgovornostjo za obveznosti družbe, lahko ta zaščita vodi v zlorabe, ki škodujejo upnikom. Zato številni pravni sistemi v določenih okoliščinah dovoljujejo spregled te ločnice in uveljavitev osebne odgovornosti članov za obveznosti družbe. Magistrska naloga analizira spregled v različnih pravnih sistemih, pri čemer se osredotoča na Združeno kraljestvo, Združene države Amerike, Nemčijo, Avstrijo, Francijo, Italijo, Slovenijo, Hrvaško, Srbijo in Črno goro. V nalogi so obravnavani kriteriji, ki jih sodišča uporabljajo pri odločanju o odgovornosti članov družbe, kot so podkapitalizacija, mešanje premoženja in zloraba pravne osebnosti. S primerjalnopravno metodo so predstavljene razlike in podobnosti med pristopi držav ter vpliv sodne prakse na razvoj tega instituta. Cilj naloge je prikazati, kako se pravni sistemi odzivajo na izzive korporacijskega prava in kako lahko učinkovito varujejo upnike pred zlorabami pravne osebnosti kapitalskih družb.

Title:Lifting the corporate veil in comparative law regulation in the common law system and in austria, montenegro, germany, croatia, italy, france, slovenia and serbia : magistrsko delo
Abstract:n this master's thesis, the concept of piercing the corporate veil is examined as an exception to the principle of the legal entity’s separate personality. While legal personality protects members from personal liability for the company’s obligations, this protection can be abused to the detriment of creditors. Consequently, many legal systems allow for the corporate veil to be pierced under specific circumstances, imposing personal liability on company members. The thesis analyzes veil-piercing doctrines across different legal systems, focusing on the United Kingdom, the United States, Germany, Austria, France, Italy, Slovenia, Croatia, Serbia, and Montenegro. It explores the criteria courts use to determine personal liability, such as undercapitalization, commingling of assets, and abuse of legal personality. Using a comparative legal approach, the thesis highlights similarities and differences among jurisdictions and examines the role of case law in shaping the doctrine. The aim is to illustrate how legal systems address corporate law challenges and protect creditors from abuses of legal personality. By analyzing judicial and legislative trends, the thesis contributes to the understanding of how veil-piercing mechanisms function in different jurisdictions and their effectiveness in ensuring legal certainty and creditor protection.
