Title:Prehod stranskih pravic pri subrogaciji (cessio legis) : magistrsko delo

Abstract:Za boljše razumevanje prehoda stranskih pravic je treba najprej razumeti institut subrogacije. V zaključnem delu avtor bralca seznani z različnimi pojavnimi oblikami subrogacije v pravnem prometu. Te so predstavljene z vidika medsebojnega razlikovanja in pravilne terminološke uporabe. Avtor bralca seznani z institutom zakonske cesije (cessio legis), ki je funkcionalno ekvivalentna angleški doktrini subrogacije. Seznani ga tudi z institutom cesije, ki je subrogaciji po svoji funkciji najbližja. Čeprav gre za dva sorodna instituta, ki se dopolnjujeta, med njima obstajajo pomembne pravne razlike. Cesijo je mogoče razumeti kot eno izmed pojavnih oblik subrogacije in ne obratno. Predmet obravnave zaključnega dela je prehod stranskih pravic pri subrogaciji. Problematika, ki spremlja njihov prehod je v tem, da definicija stranske pravice kot pojavne oblike v slovenski zakonodaji ni vsebovana. Stranske pravice imajo raznovrstne pojavne oblike, ki se med seboj razlikujejo v marsičem. Zaradi njihovega medsebojnega razlikovanja prihaja do zmede, katere se s subrogacijo prenašajo in katere se ne. Ugotovljene in predstavljene so ugotovitve prehoda stranskih pravic na podlagi pozitivne zakonodaje, pravne literature in prakse sodišč. Nemška ureditev je najbolj primerljiva s slovensko. Ugotovitve bodo podprte in primerjane z njihovo ureditvijo, ki ima glede prehoda stranskih pravic pri subrogaciji bogato sodno prakso, literaturo in dolgoletno tradicijo normativne razlage. Domača stroka prehodu neakcesornih stranskih pravic izrecno ne nasprotuje in tudi opredeli se ne do njihovega prehoda. Podobno sodišča, ki se do prehoda neakcesornih pravic ne opredelijo, izrecno nasprotujejo prehodu pridržka lastninske pravice. Primerjalna analiza pokaže, da se na podlagi nemške ureditve prehod stranskih pravic razlaga široko. S prehodom glavne terjatve preidejo tudi vse stranske pravice na izpolnitelja. Glede tistih, ki niso prešle, nastane upniku obveznost, da jih zagotovi in prenese na izpolnitelja. Nemško zvezno vrhovno sodišče izrecno navaja, da je treba prenesti samostojne pravice do zavarovanja, kot so zemljiške obremenitve, lastništvo varščine ali pridržke lastništva.

Title:Transfer of collateral rights in subrogation (cessio legis)
Abstract:In order to achieve a proper understanding of transfer of ancillary rights, it is first necessary to examine the legal institution of subrogation. In concluding section, the author introduces the reader to the various manifestations of subrogation in legal transactions. These different forms are presented with particular emphasis on their mutual distinctions and on the correct use of legal terminology. Furthermore, the author familiarizes the reader with contractual and statutory subrogation (cession by operation by law - cessio legis), both of which are functionally equivalent to the English doctrine of subrogation. The reader is also introduced to assignment, the institution most closely related to subrogation, yet distinct from it in several important respects. It is essential to recognize that although these two legal institutions are highly similar and complementary in function, they differ in significant legal aspects. Assignment is legal mechanism most closely alligned with subrogation in terms of its function. In fact, assignment constitutes a form of siubrogation, rather than other way around. Following this conceptual clarification, the analysis proceeds to the transfer of ancillary rights to in the context of subrogation. The principal issue surrounding such transfer lies in the absence of statutory definition of ancillary rights as distinct legal category. Ancillary rights manifest in various forms, which differ considerably from one another. Owing to these differences, uncertainly arises as to which ancillary rights are transfered upon subrogation. This question forms the central subjet of the present concluding analysis. The findings concerning the transfer of ancillary rights wil be presented on the basis of positive legislation, legal schoolarship and judicial practice. These findings will further be supported and comparatively assessed in light of German law, which offers extensive case law, scholary analysis and a long-standing tradition of normative interpretation regarding subrogation and the transfer of ancillary rights. Moreover, the German legal system is doctrinally and structurally closest to our own. German law constitutes the most suitable and closely alligned comparative model for Slovenian legal system. Domestic legal scholarship does not expressly oppose the transfer of non accessory rights, yet it likewise does not take a definitive position regarding their transfer. Similarly, the courts have explicitly opposed the transfer of retention of title clause, while refraining from addressing other forms of non-accessory rights. In summary, a comperative assessment of German law demonstrates that the transfer of ancillary rights is interpreted broadly. Upon the transfer of the principal claim, all ancillary rights pass to the performing third party. With regards to those ancillary rights that have not yet arisen, the creditor is under an obligation to secure and transfer them to the performing party. German law expressly provides that independent security rights, such as land charges, ownership of collateral, retention of title, transfer by operation of law (ex lege).
